a good standing certificate for the Company certified as of a date no later than thirty (30) days prior to the Closing Date from the proper state official in its jurisdiction of organization and each other jurisdiction set forth on [Schedule 3.1].

a Delaware certificate of good standing for the Corporation dated as of the Closing Date;

that attached to such certificate are # a true and complete copy of the certificate of incorporation and bylaws of such Loan Party, as in full force and effect on the Effective Date, and # a true and complete copy of a certificate from the appropriate Governmental Authority of the jurisdiction of incorporation or organization of such Loan Party certifying that such Loan Party is validly existing and in good standing in such jurisdiction, dated a recent date prior to the Effective Date, and # true and complete copies of certificates from the appropriate Governmental Authority of each jurisdiction in which any Loan Party owns Oil and Gas Properties constituting Collateral evidencing that such Loan Party is in good standing and authorized to do business in such jurisdiction, dated a recent date prior to the Effective Date;

Certificates of Good Standing or Existence. A certificate of good standing or existence for such Credit Party issued as of a recent date by its state of organization and each other state where the failure to qualify or be in good standing could have a Material Adverse Effect.

Certificates. [[Organization B:Organization]] shall have received a copy of the articles or certificate of incorporation, or certificate of formation, as the case may be, of each Loan Party, and all amendments thereto, certified by the Secretary of State or other appropriate official of its jurisdiction

8.02Officer’s Certificate. SRSG and Merger Sub shall have been furnished with certificates dated the Closing Date and signed by the duly authorized chief executive officer of BioSculpture to the effect that to such officer’s Knowledge, which may be based on certificates of good standing, representations of Governmental Entities, and BioSculpture’s own documents and information:

Seller will deliver to the Buyer true and complete copies of ​’s Articles of Organization and a Certificate of Good Standing from the Secretary of State of Texas, which articles and certificate of good standing are dated not more than five (5) days prior to the Closing Date.

UCC Searches/Other Information. Bank shall have a certified UCC search covering Borrowers, as debtor, from the central filing office of the State of North Dakota, the State of Montana, and such other jurisdictions as the Bank reasonably deems necessary or appropriate, and the Bank shall receive such other information, certificates (including a current good standing certificate issued by the North Dakota Secretary of State as to Borrower's status in North Dakota, and a good standing certificate issued by the Montana Secretary of State as to Borrower's status in Montana), resolutions, documents and assurances as Bank shall reasonably request.

Good Standing and Tax Lien Certificates. [[Organization B:Organization]] shall have received good standing and Tax Lien certificates for each Loan Party dated not more than thirty (30) days prior to the Closing Date, issued by the Secretary of State or other appropriate official of each Loan Party's (other than the Mexican Loan Parties') jurisdiction of incorporation or formation, as the case may be;
