Solvency. The Administrative Agent shall have received a solvency certificate signed by a Financial Officer dated the Effective Date.

Solvency. The Administrative Agent shall have received a solvency certificate from a Financial Officer of the Borrower substantially in the form attached hereto as [Exhibit D].

Solvency Certificate. The Administrative Agent shall have received a solvency certificate in the form of [Exhibit H] dated the Closing Date and signed by a Financial Officer of the Borrower.

Solvency Certificate. The Administrative Agent shall have received a solvency certificate substantially in the form of [Exhibit H] to the Credit Agreement dated the Second Amendment Effective Date and signed by a Financial Officer of the Borrower.

The Administrative Agent shall have received a solvency certificate, dated as of the Term Loan Funding Date and signed by a Financial Officer of the Company substantially in the form of [Exhibit C].

Solvency Certificate. The Administrative Agent shall have received a Solvency Certificate signed by a Responsible Officer of the Borrower as to the financial condition, solvency and related matters of the Borrower and its Subsidiaries, after giving effect to the initial Borrowings under the Loan Documents and the other transactions contemplated hereby.

The Administrative Agent shall have received a certificate from a Financial Officer concerning the solvency and other appropriate factual information with respect to the Company and its Subsidiaries in form and substance reasonably satisfactory to the Administrative Agent with respect to solvency.

The Administrative Agent shall have received # a certificate, dated the Effective Date and signed on behalf of the Borrower by the President, a Vice President or a Financial Officer of the Borrower, confirming compliance with the conditions set forth in paragraphs [(a) and (b) of Section 4.02] as of the Effective Date, and # a solvency certificate, dated the Effective Date and signed on behalf of the Borrower by the most senior financial officer of the Borrower, certifying that, as of the Effective Date, the Borrower and the Restricted Subsidiaries, taken as a whole, are, and after giving effect to the Transactions and the incurrence of any Indebtedness and obligations being incurred in connection herewith will be, Solvent.

Solvency Certificate. The Administrative Agent shall have received a solvency certificate, dated as of the Closing Date and after giving effect to the Transactions, from an authorized officer of the Borrower, substantially in the form of [Exhibit D].
