Credit for Shortfall. If there is a Shortfall for a Product in a Year, then [[Organization A:Organization]] will credit Client's account for the amount of the Shortfall not later than ​ days after the end of the Year.

Client will pay Patheon the applicable Price in accordance with [Sections 4 and 5]. All cost items that are not included in the Price (as specified in the applicable Product Agreement) are subject to additional fees to be paid by Client.

[[Organization A:Organization]] will not make any use of Client's name, trademarks or logo or any variations thereof, alone or with any other word or words, without the prior written consent of Client, which consent will not be unreasonably withheld. Despite this, Client agrees that [[Organization A:Organization]] may include Client's name and logo in customer lists or related marketing and promotional material for the purpose of identifying users of [[Organization A:Organization]]'s Manufacturing Services.

The Client, by way of security, irrevocably appoints HIF, and any person to whom HIF transfers rights and/or obligations under this Agreement (with full power of substitution and delegation), to act on the Client's behalf to # sign any deeds and documents, # complete or endorse any instruments, # conduct or defend any proceedings and # take such other steps that HIF considers necessary to obtain payment or perfect HIF's ownership of any Debt or to secure performance of any of the Client's obligations to HIF or any Customer.

The CLIENT's signature on this agreement, indicates compliance with the above requests and understanding of the services to be provided.

Patheon will not collect an otherwise applicable tax if the Client's purchase is exempt from Patheon's collection of the tax and a valid tax exemption certificate is furnished by the Client to Patheon.
