Claims Not Subject to Arbitration. Claims under state workers’ compensation statutes or unemployment compensation statutes are specifically excluded from this Exhibit B. Claims pertaining to any of Employer’s employee welfare benefit and pension plans are excluded from this Exhibit B. In the case of a denial of benefits under any of Employer’s employee welfare benefit or pension plans, the filing and appeal procedures in those plans must be utilized. Claims by Employer or Employee for injunctive or other relief for violations of non-competition and/or confidentiality agreements are also specifically excluded from this Exhibit B.
Arbitration of Claims. The parties shall submit all Claims (as defined in Exhibit C) arising under this Agreement or any other Transaction Document or any other agreement between the parties and their affiliates or any Claim relating to the relationship of the parties to binding arbitration pursuant to the arbitration provisions set forth in Exhibit C attached hereto (the “Arbitration Provisions”). For the avoidance of doubt, the parties agree that the injunction described in Section 7.3 below may be pursued in an arbitration that is separate and apart from any other arbitration regarding all other Claims arising under the Transaction Documents. The parties hereby acknowledge and agree that the Arbitration Provisions are unconditionally binding on the parties hereto and are severable from all other provisions of this Agreement. By executing this Agreement, Company represents, warrants and covenants that Company has reviewed the Arbitration Provisions carefully, consulted with legal counsel about such provisions (or waived its right to do so), understands that the Arbitration Provisions are intended to allow for the expeditious and efficient resolution of any dispute hereunder, agrees to the terms and limitations set forth in the Arbitration Provisions, and that Company will not take a position contrary to the foregoing representations. Company acknowledges and agrees that Investor may rely upon the foregoing representations and covenants of Company regarding the Arbitration Provisions.
Generally, Participants are not required to present a formal claim in order to receive benefits under the Plan. If, however, any person (the “Claimant”) believes that benefits are being denied improperly, that this Plan is not being operated properly, that fiduciaries of this Plan have breached their duties, or that the Claimant’s legal rights are being violated with respect to this Plan, the Claimant must file a formal claim, in writing, with the Compensation Committee.
Award Subject to Claims of Creditors. The Participant shall not have any interest in any particular assets of the Company, its parent, if applicable, or any Subsidiary or Affiliated Entity by reason of the right to earn an Award (including Accrued Dividends) under the Plan and this Agreement, and the Participant or any other person shall have only the rights of a general unsecured creditor of the Company, its parent, if applicable, or a Subsidiary or Affiliated Entity with respect to any rights under the Plan or this Agreement.
Amounts Subject to Release of Claims. The payments provided under Section 5 (other than the Accrued Obligations and the Other Benefits) are subject to the Executive’s or the Executive’s estate’s or beneficiary’s, as applicable, execution, delivery to the Company, and non-revocation, within 55 days after the Date of Termination, of a release of claims against the Company, the Affiliated Companies, and any officers, directors, and members of the Company and/or the Affiliated Companies substantially in the form typically used by the Company in connection with executive employment terminations (it being understood that such release shall not impose any post-employment restrictive covenant other than to reaffirm any restrictive covenant applicable under [Section 9] of this Agreement and, in the case of a termination by reason of the Executive’s death or Disability, such release shall only require the Executive’s estate or beneficiary, as applicable, to release any claims to any payments or benefits under this Agreement in exchange for the payments provided under Sections 5(b) or 5(c), as applicable) (the “Release”). The Executive acknowledges and agrees that if the Executive or the Executive’s estate or beneficiary, as applicable, does not timely sign and deliver to the Company the Release, or if the Executive or the Executive’s estate or beneficiary, as applicable, timely revokes such Release, the Executive shall forfeit any and all rights to the payments provided under this Section 5 (other than the Accrued Obligations and the Other Benefits).
