Claim Notice. Notwithstanding the foregoing, an indemnified party’s delay in providing the foregoing notice to the indemnifying party shall not bar a claim for indemnity under this Agreement unless the delay materially prejudices the indemnifying party’s ability to resolve or defend against the claim.
