Choice of Law. This Agreement and the rights of the parties hereunder, shall be determined under, governed by, and construed in accordance with the laws of the State of New York. The provisions of [Section 10.13 and 10.14]4] of the Credit Agreement are hereby incorporated mutatis mutandis.

SECTION #Governing Law; Miscellaneous. This Amendment and Waiver and the rights and obligations of the parties hereto shall be governed by, and construed and interpreted in accordance with, the law of the State of New York. The provisions of [Sections 10.14 and 10.15]5] of the Credit Agreement shall be incorporated herein mutatis mutandis.

Section # GOVERNING LAW, etc. This AMENDMENT shall be construed in ACCORDANCE with and governed by the law of the State of New York. The provisions of [Sections 10.15(b) and 10.16]6] of the Credit Agreement are incorporated herein and apply to this Amendment mutatis mutandis.

Choice of Law. This Agreement shall be governed by and its provisions construed and enforced in accordance with the laws of the State of New York without regard to the conflict of laws principles thereof.

Section # GOVERNING LAW; JURISDICTION; WAIVER OF JURY TRIAL. THIS AGREEMENT SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAW OF THE STATE OF NEW YORK. SECTIONS 10.11, 10.12, 10.13 and 10.15 OF THE EXISTING CREDIT AGREEMENT ARE HEREBY INCORPORATED BY REFERENCE INTO THIS AGREEMENT MUTATIS MUTANDIS AND SHALL APPLY HERETO.
