Governing Law and Choice of Venue. The Options are governed by, and subject to, United States federal and Illinois state law (without regard to the conflict of law provisions) and the requirements of the New York Stock Exchange as well as the terms and conditions set forth in the Plan and this Agreement. For purposes of litigating any dispute that arises directly or indirectly from the relationship of the parties evidenced by the Options or this Agreement, the parties hereby submit to and consent to the exclusive jurisdiction of the State of Illinois, agree that such litigation shall be conducted in the courts of DuPage County, Illinois, or the federal courts for the United States for the Northern District of Illinois, where this grant is made and/or to be performed.

Choice of Law, Jurisdiction and Venue. This Agreement shall be governed by, construed and enforced in accordance with the laws of the State of Utah without regard to its conflict of laws provisions. The Parties also agree that this Option Agreement shall be deemed to have been entered into in Utah, and the Parties agree that the Utah Courts will have jurisdiction over the Parties and this Option Agreement, and be the venue of any dispute that may arise between them. Grantee waives any claim that Utah Courts would be an inconvenient forum to address disputes between them.

Choice of Law and Venue; Jury Trial Waiver. THIS AMENDMENT SHALL BE SUBJECT TO THE PROVISIONS REGARDING CHOICE OF LAW AND VENUE, JURY TRIAL WAIVER, AND JUDICIAL REFERENCE SET FORTH IN SECTION 12 OF THE CREDIT AGREEMENT, AND SUCH PROVISIONS ARE INCORPORATED HEREIN BY THIS REFERENCE, MUTATIS MUTANDIS.

CHOICE OF LAW; SUBMISSION TO JURISDICTION; WAIVER OF VENUE; SERVICE OF PROCESS; WAIVER OF JURY TRIAL.

The ESPP is incorporated herein by reference. The ESPP and the Offering Document constitute the entire agreement of the parties with respect to the subject matter hereof and supersede in their entirety all prior undertakings and agreements of the Company and the Participant with respect to the subject matter hereof, and may not be modified adversely to Participant’s interest except by means of a writing signed by the Company and the Participant. This agreement is governed by the laws of the Republic of France.

Choice of Law, Venue, Modification, and Execution. This Agreement will be construed in accordance with and governed by the laws of the State of Texas. Employee and LP agree that the exclusive venue for any dispute involving this Agreement, the claims described in [Section 4], Employee’s employment with LP, or the termination of that employment shall be Austin, Texas. Employee understands that once this Agreement is executed, this Agreement cannot be modified or amended except by a written instrument(s), signed by both parties. This Agreement may be executed in multiple parts.

Choice of Law. This Agreement will be interpreted and enforced under the laws of the state of Minnesota (without to its conflicts or choice of law principles).

Choice of Law. THE VALIDITY OF THIS AGREEMENT, THE CONSTRUCTION OF ITS TERMS AND THE DETERMINATION OF THE RIGHTS AND DUTIES OF THE PARTIES WILL BE CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF ALABAMA AND THE COMPANY AND THE EXECUTIVE HEREBY UNCONDITIONALLY SUBMITS TO THE EXCLUSIVE JURISDICTION OF THE STATE AND FEDERAL COURTS LOCATED IN THE STATE OF ALABAMA FOR THE ADJUDICATION OF ANY DISPUTE RELATING TO THIS AGREEMENT (PROVIDED, HOWEVER, THAT IF THE EXECUTIVE FAILS TO SUBMIT TO SUCH JURISDICTION OR IF THE EXECUTIVE UNDERTAKES ACTIVITIES IN VIOLATION OF SECTIONS 5, 6, OR 7 THIS AGREEMENT WHICH ARE SUBJECT TO INJUNCTIVE RELIEF UNDER SECTION 10 ABOVE IN JURISDICTIONS OUTSIDE OF ALABAMA, THE COMPANY MAY FILE SUIT AGAINST THE EXECUTIVE FOR THE ENFORCEMENT OF THIS AGREEMENT IN THE JURSIDICTION IN WHICH SUCH BREACH HAS OCCURRED (OR WITH RESPECT TO THE EXECUTIVE FAILING TO SUBMIT THE JURISDICTION OF THE STATE AND FEDERAL COURTS LOCATED IN THE STATE OF ALABAMA, ANY JURISDICTION DEEMED APPROPRIATE BY THE COMPANY).

Choice of Law. Except to the extent that federal law is controlling, this Plan Statement will be construed and enforced in accordance with the laws of the State of Minnesota.

Choice of Law. This Agreement and all rights and liabilities of the parties hereto with reference to the Partnership shall be subject to, construed in accordance with and governed by the laws of the State of Florida. To the extent that any provision hereof is in contravention with the Law, as in effect from time to time, the provisions of the Law shall supersede and replace any provision herein which is in contravention thereof. Additionally, the appropriate forum and jurisdiction for any legal action shall be the Courts of the County of Broward, State of Florida, and each party consents to such jurisdiction.
