“Know-How” means any and all proprietary commercial, technical, scientificnon-public Information and other data, information, materials, trade secrets, knowledge, technology,data, instructions, processes, methods, processes, formulae, instructions, techniques, designs, drawingscompositions, materials, expert opinions and specifications (includinginformation, including without limitation, biological, chemical, pharmacological, toxicological, pharmaceutical, physical and analytical, pre-clinical, clinical, safety, manufacturing and quality control data and know-how, including study designs and protocols).information. For the avoidance of doubt, Know-How shall exclude Patent Rights.

“Know-How” means any and all proprietary commercial, technical, scientific and other data,know-how and information, materials,inventions, discoveries, improvements, trade secrets, knowledge, technology, methods, processes, practices, formulae, instructions, skills, techniques, procedures, experiences, ideas, technical assistance, designs, drawingsdrawings, assembly procedures, computer programs, specifications, data and specificationsresults (including biological, chemical, pharmacological, toxicological, pharmaceutical, physical and analytical, pre-clinical, clinical, safety, manufacturing and quality control data and know-how, including study designs and protocols)., filings and correspondence (including DMFs); in all cases, # that is confidential or proprietary but # whether or not, patented or patentable, in written, electronic or any other form, now known or hereafter developed.

“Know-How” means any and all proprietary commercial, technical, scientifictechnical information, processes, formulae, data, inventions, methods, knowledge, discoveries, know-how, trade secrets and other data, information, materials, trade secrets, knowledge, technology, methods, processes, formulae, instructions, techniques, designs, drawingswhether or not patentable and specifications (including biological, chemical, pharmacological, toxicological, pharmaceutical, physicalwhether or not reduced to practice, but that is not known to the public and analytical, pre-clinical, clinical, safety, manufacturing and quality control data and know-how,is still Confidential Information, including study designs and protocols).any tangible embodiments of the foregoing.

“Know-How” means any information, ideas, data, inventions, works of authorship, materials (including biological and allchemical materials), trade secrets or technology (excluding intellectual property rights therein), whether or not proprietary commercial, technical, scientificor patentable, including documents and other data, information, materials, trade secrets, knowledge, technology, methods, processes, formulae, instructions, techniques, designs, drawingsmedia (including paper, notebooks, books, files, ledgers, records, tapes, discs, diskettes, CD-ROM, trays and specifications (including biological, chemical, pharmacological, toxicological, pharmaceutical, physicalcontainers and analytical, pre-clinical, clinical, safety, manufacturingany other media) containing or storing any of the foregoing, and quality control data and know-how,whether stored or transmitted in oral, documentary, electronic or other form, including study designs and protocols).all Regulatory Documentation.

Know-How shall not include any Patents.

“Know-How” means anyHow” shall mean inventions (whether or not patentable), invention disclosures, processes, methods, algorithms and all proprietary commercial, technical, scientific and other data, information, materials,formulae, trade secrets, knowledge, technology, methods, processes, formulae,know-how, information, knowledge (including manufacturing knowledge), practices, formulas, instructions, skills, techniques, technical data, designs, drawings and specifications (including biological, chemical, pharmacological, toxicological, pharmaceutical, physical and analytical, pre-clinical, clinical, safety, manufacturingdrawings, apparatus, results of experiments, test data, including clinical data, analytical and quality control data, manufacturing data and know-how, including study designsdescriptions, market data, devices, assays, procedures (including standard operating procedures), notes of experiments, specifications, compositions of matter, physical, chemical and protocols).biological materials, whether in intangible, tangible, written, electronic or other form.

“Know-How” meansshall mean any and all proprietary commercial, technical, scientificinformation and other data, information, materials,materials (whether patentable or not) related to the Licensed Compound, Licensed Product, any Combination Product, formulation, product improvement and/or indication, or the Development, Manufacture or use of any of the foregoing, that are not in the public domain, including, without limitation, # ideas, discoveries, inventions, improvements, technology or trade secrets, knowledge, technology,# pharmaceutical, chemical and biological materials, products, components or compositions, # methods, procedures, formulas, processes, formulae, instructions,tests, assays, techniques, designs, drawingsregulatory requirements and specifications (includingstrategies, # biological, chemical, pharmacological, toxicological, pharmaceutical, physical and analytical, pre-clinical, clinical, safety, manufacturingManufacturing and quality control data and know-how, including study designsinformation related thereto, # technical and protocols).non-technical data and other information related to the foregoing, # drawings, plans, designs, diagrams, sketches, specifications or other documents containing or relating to such information or materials and # all applications, registrations, licenses, authorizations, approvals and correspondence relating to the Licensed Compound and/or Licensed Product submitted to Regulatory Authorities.
