Charter Documents. Copies of the articles or certificates of incorporation or other charter documents of such Credit Party certified to be true and complete as of a recent date by the appropriate Governmental Authority of the state or other jurisdiction of its incorporation and certified by a secretary or assistant secretary of such Credit Party to be true and correct as of the Closing Date.

Charter Documents. ​ has delivered or made available to Patriot and Bank a true and correct copy of the certificate of incorporation (including any certificate of designations), by-laws, or like organizational documents, each as amended to date, of ​. ​ is not in violation of any of the provisions of its organizational documents.

Amendment to Charter Documents. The Parties hereby authorize Sangre upon Closing to amend Sangre’s Articles of Organization and other Sangre documents that may be applicable to reflect the transactions contemplated herein.

Maintenance of Charter. The Committee shall review and reassess the adequacy of this formal written Charter on at least an annual basis.

BRPA A&R Charter. BRPA shall have adopted the BRPA A&R Charter.

Amend its Charter Documents in any material respect;

“Company Charter Documents” has the meaning set forth in [Section 3.01(b)].

“Conduent Charter Documents” means Conduent’s Certificate of Incorporation and by-laws.

“Xerox Charter Documents” means Xerox’s Certificate of Incorporation and by-laws.

Documents. "Documents" shall mean all original written, recorded, or graphic matters whatsoever, and any and all copies thereof, including, but not limited to: papers; books; records; tangible things; correspondence; communications; telex messages; memoranda; work-papers; reports; affidavits; statements; summaries; analyses; evaluations; client records and information; agreements; agendas; advertisements; instructions; charges; manuals; brochures; publications; directories; industry lists; schedules; price lists; client lists; statistical records; training manuals; computer printouts; books of account, records and invoices reflecting business operations; all things similar to any of the foregoing however denominated. In all cases where originals are not available, the term "Documents" shall also mean identical copies of original documents or non-identical copies thereof.

“Organizational Documents” means any charter, certificate of incorporation, articles of association, partnership agreement, limited liability ​ agreement, bylaws, operating agreement or similar formation or governing documents and instruments.

Pursuant to BRPA’s Charter Documents, BRPA shall provide an opportunity to its stockholders to have their BRPA Common Stock redeemed for the consideration, and on the terms and subject to the conditions and limitations, set forth in this Agreement, BRPA’s Charter Documents, the Trust Agreement, and the Proxy Statement in conjunction with, inter alia, obtaining approval from the BRPA Stockholders for the Business Combination (the “Offer”).

Corporate Charter and Good Standing Certificates. The Administrative Agent shall have received: # an original certified copy of the Certificate or Articles of Incorporation or equivalent formation document of the Borrower and any and all amendments and restatements thereof, certified as of a recent date by the relevant Secretary of State; # an original good standing certificate for each Credit Party from the Secretary of State of the state of its incorporation or formation, dated as of a recent date, listing all charter documents affecting such Credit Party and certifying as to the good standing of such Credit Party; and # copies of the Certificate or Articles of Incorporation or equivalent formation document of each Credit Party and any and all amendments and restatement thereof, certified by the Secretary (or equivalent officer) of such Credit Party.

Neither any amendment to the formation documents of the [[Organization C:Organization]] nor any other charter document with respect to the [[Organization C:Organization]] has been filed, recorded or executed since ​ ​, ​, and no authorization for the filing, recording or execution of any such amendment or other charter document is outstanding.

“Charter Documents” means the certificate of incorporation, bylaws, memorandum and articles of association, articles of organization, other comparable governing instruments with different names.

“Governing Documents” means, with respect to any entity, its certificate of incorporation, certificate of formation or similar charter document and its bylaws, operating agreement or similar governing document.

Other Documents. Such other documents as [[Organization B:Organization]] may reasonably request, in form and substance reasonably acceptable to [[Organization B:Organization]].

Closing Documents. Seller shall have duly executed and delivered, or caused to be executed and delivered, to Buyer the Seller’s Closing Documents.
