Charter Documents. Copies of the articles of incorporation, articles of organization or other charter documents of each Borrower certified to be true and complete as of a recent date by the appropriate Governmental Authority of the state or other jurisdiction of its incorporation and certified by a secretary or assistant secretary of the relevant Borrower to be true and correct as of the Restatement Effective Date.

Charter Amendments. In no event will the Company or any Investor Party approve, or present to the Board for approval, any amendment to [Article XIII] of the Certificate of Incorporation that is adverse to the AKKR Group in any respect without the prior written consent of the AKKR Designation Parties.

Charter Documents. The Charter Documents are in full force and effect in the form presented to Bank as of the Closing Date or such date such Loan Party becomes a party thereto.
