Transfer Taxes. All transfer, documentary, sales, use, value-added, gross receipts, stamp, registration, property, excise, transfer orregistration and other similar taxes, charges orsuch Taxes, and recording, filing and other fees (collectively, “Transfer Taxes”)(including any penalties and interest), incurred in connection with the transfer andconsummation of the sale of the PurchasedAcquired Assets as contemplatedpursuant to this Agreement shall be paid by the applicable Seller Party when due, and such Seller Party will, at its own expense, file all necessary Tax Returns and other documentation with respect to all such transfer, documentary, sales, use, stamp, registration and other Taxes and fees.

Transfer Taxes. All transfer, documentary,Buyer shall bear any sales, use, value-added,excise, real property transfer or gain, gross receipts, stamp,goods and services, registration, property, excise,capital, documentary, stamp or transfer taxes, recording fees and similar taxes and fees incurred and imposed upon, or with respect to, the property transfer or other similar taxes, charges or fees (collectively, “Transfer Taxes”) incurred in connection with the transfer and sale of the Purchased Assets astransactions contemplated by the hereby.
