“Channel Sharee” means # any licensee of a television broadcast station which submitted a winning channel sharing bid in the Incentive Auction, as defined in 47 C.F.R. § 1.2200(d[[Borrower:Organization]], and is party to an executed Channel Sharing Agreement or # any licensee of a television broadcast station which submitted a winning license relinquishment bid in the Incentive Auction, as defined in 47 C.F.R. § 1.2200(g[[Borrower:Organization]], and executes and implements a post-Incentive Auction Channel Sharing Agreement.

“Channel Sharee” means # any licensee of a television broadcast station which submitted a winning channel sharing bid in the Incentive Auction, as defined in 47 C.F.R. § 1.2200(d[[Borrower:Organization]], and is party to an executed Channel Sharing Agreement or # any licensee of a television broadcast station which submitted a winning license relinquishment bid in the Incentive Auction, as defined in 47 C.F.R. § 1.2200(g[[Borrower:Organization]], and executes and implements a post-Incentive Auction Channel Sharing Agreement.

(x[[Borrower:Organization]] any Station Sharing Arrangement with Strategic Shared Services Parties and # any Host Channel Sharing Agreement, provided that any Net Cash Proceeds from the Disposition of spectrum under such Host Channel Sharing Agreement to a Person other than a Nexstar Guarantor shall be subject to Section 2.05(b[[Borrower:Organization]](ii[[Borrower:Organization]](A[[Borrower:Organization]], provided, however, for the avoidance of doubt, that no cost sharing reimbursements from the Channel Sharee under such Host Channel Sharing Agreement shall be subject to Section 2.05(b[[Borrower:Organization]](ii[[Borrower:Organization]](A[[Borrower:Organization]];

(x[[Borrower:Organization]] any Station Sharing Arrangement with Strategic Shared Services Parties and # any Host Channel Sharing Agreement, provided that any Net Cash Proceeds from the Disposition of spectrum under such Host Channel Sharing Agreement to a Person other than a Nexstar Guarantor shall be subject to Section 2.05(b[[Borrower:Organization]](ii[[Borrower:Organization]](A[[Borrower:Organization]], provided, however, for the avoidance of doubt, that no cost sharing reimbursements from the Channel Sharee under such Host Channel Sharing Agreement shall be subject to Section 2.05(b[[Borrower:Organization]](ii[[Borrower:Organization]](A[[Borrower:Organization]];

(x[[Borrower:Organization]] [Reserved], # any Host Channel Sharing Agreement, provided that any Net Cash Proceeds from the Disposition of spectrum under such Host Channel Sharing Agreement to a Person other than a Mission Guarantor shall be subject to Section 2.05(b[[Borrower:Organization]](ii[[Borrower:Organization]](A[[Borrower:Organization]]; provided however, for the avoidance of doubt, that no cost sharing reimbursements from the Channel Sharee under such Host Channel Sharing Agreement shall be subject to Section 2.05(b[[Borrower:Organization]](ii[[Borrower:Organization]](A[[Borrower:Organization]] and (z[[Borrower:Organization]] any Disposition in connection with the Incentive Auction; provided that any Net Cash Proceeds from such Disposition shall be subject to Section 2.05(b[[Borrower:Organization]](ii[[Borrower:Organization]](A[[Borrower:Organization]];
