“Change Order Log” shall mean a change order log from the General Contractor which details all executed changes orders (since the delivery of the most recent Change Order Log) and any pending change orders.

To review Advance Requests and change orders; and

Adjustments for Product Orders. The amounts specified for the Monthly Installments are based on the projected order of Products. In the event that the ​’s Product orders for any given month are less than the amount associated with the Monthly Installment, the ​ shall pay the remainder of the applicable month’s Monthly Installment at the end of the month in accordance with the invoice. ​ shall ship out Products equaling the amount to be invoiced prior to such invoice being issued. The Debtor, the Secured Party and the Securities Intermediary each agree that if at any time an Authorized Officer of the Securities Intermediary shall receive an “entitlement order” (within the meaning of [Section 8-102(a)(8)])] of the New York UCC) or any other order (collectively, a “Transfer Order”) originated by the Secured Party and relating to any Secured Account or any financial assets or security entitlements credited thereto, the Securities Intermediary shall comply with such Transfer Order without further consent by the Debtor or any other Person.

Qualified Domestic Relations Orders. Except as may be expressly provided in the applicable Award Agreement, an Award may be transferred, to a Permitted Transferee, pursuant to a domestic relations order entered or approved by a court of competent jurisdiction upon delivery to the Company of written notice of such transfer and a certified copy of such order.

No Orders or Injunctions. No order, judgment, injunction, or decree issued by a governmental authority of competent jurisdiction prohibiting consummation of the transactions contemplated by this Agreement or the other Transaction Documents shall be in effect and no law shall have been enacted, issued, promulgated, enforced, or entered into by any governmental authority that enjoins or otherwise prohibits the consummation of the transactions contemplated by this Agreement or the other Transaction Documents.

Name Change. Immediately following the Closing, [[Organization A:Organization]] shall file amendments to [[Organization A:Organization]]’s Articles of Organization with the Michigan Secretary of State and any other corporate registry recording its qualification or license to do business changing its corporate name to a name or names that Purchaser reasonably determines is not likely to cause confusion with [[Organization A:Organization]]’s current name or any other name included in the Assets. [[Organization A:Organization]] further agree that, following the Closing, neither [[Organization A:Organization]] nor any of its Affiliates will adopt any name which Purchaser reasonably determines is likely to cause confusion with [[Organization A:Organization]]’s current name for any business and will not otherwise infringe upon the names, or holding themselves out as the successors to the Business.

Name Change. References to “Repro Med Systems, Inc. d/b/a ​” throughout the Employment Agreement and Option Agreement are hereby deleted and replaced with “​”

Change Name. Change its name, organizational identification number, state or province of organization or organizational identity; provided, that, any Borrower or its Subsidiaries may change its name upon at least ten (10) days prior written notice to Agent of such change.
