Domestic Relations Orders. Upon receiving written permission from the Board or its duly authorized designee, and provided that you and the designated transferee enter into transfer and other agreements required by the Company, you may transfer your right to receive the distribution of Common Stock or other consideration hereunder, pursuant to a domestic relations order or marital settlement agreement that contains the information required by the Company to effectuate the transfer. You are encouraged to discuss the proposed terms of any division of this Award with the Company General Counsel prior to finalizing the domestic relations order or marital settlement agreement to verify that you may make such transfer, and if so, to help ensure the required information is contained within the domestic relations order or marital settlement agreement.

Orders and Deliveries. All orders, processing and deliveries of any Product shall be made in accordance with customary and routine handling of orders, processing and deliveries for fabricated restaurant equipment and furnishings to third parties in respect of the particular Product or type of Product, unless otherwise agreed in writing by both Parties.

“Change Order Log” shall mean a change order log from the General Contractor which details all executed changes orders (since the delivery of the most recent Change Order Log) and any pending change orders.

To review Advance Requests and change orders; and

No Orders or Injunctions. No order, judgment, injunction, or decree issued by a governmental authority of competent jurisdiction prohibiting consummation of the transactions contemplated by this Agreement or the other Transaction Documents shall be in effect and no law shall have been enacted, issued, promulgated, enforced, or entered into by any governmental authority that enjoins or otherwise prohibits the consummation of the transactions contemplated by this Agreement or the other Transaction Documents.

The Debtor, the Secured Party and the Securities Intermediary each agree that if at any time an Authorized Officer of the Securities Intermediary shall receive an “entitlement order” (within the meaning of [Section 8-102(a)(8)])] of the New York UCC) or any other order (collectively, a “Transfer Order”) originated by the Secured Party and relating to any Secured Account or any financial assets or security entitlements credited thereto, the Securities Intermediary shall comply with such Transfer Order without further consent by the Debtor or any other Person.

Adjustments for Product Orders. The amounts specified for the Monthly Installments are based on the projected order of Products. In the event that the ​’s Product orders for any given month are less than the amount associated with the Monthly Installment, the ​ shall pay the remainder of the applicable month’s Monthly Installment at the end of the month in accordance with the invoice. ​ shall ship out Products equaling the amount to be invoiced prior to such invoice being issued. Notwithstanding the foregoing, ​, in its sole and absolute discretion may elect for ​ to store the then invoiced Products on behalf of ​, or to ship said Products to a third-party designated by ​.

Name Change. References to “Repro Med Systems, Inc. d/b/a ​” throughout the Employment Agreement and Option Agreement are hereby deleted and replaced with “​”

Change Name. Change its name, organizational identification number, state or province of organization or organizational identity; provided, that, any Borrower or its Subsidiaries may change its name upon at least ten (10) days prior written notice to Agent of such change.

No Change. There shall not have occurred any change or event, and a Bank shall not have become aware of any previously undisclosed information regarding ​ and its Subsidiaries, which in each case, in the reasonable judgment of the Required ​, could reasonably be expected to have a Material Adverse Effect.
