Order Quantities. Each Order shall be for full batches of the Final Product, and Supplier shall not be required to accept Orders for lesser quantities than specified in Annex 5 (Packaging Process). In the event that Customer wishes to order a quantity of the Final Product of less than the Minimum Order Quantities or minimum batch sizes, Customer shall specify such quantity in an Order and Supplier shall notify Customer within ​ of receipt of any such Order of the revised price for the Final Product to reflect the increased costs to Supplier of producing smaller quantities. Customer may confirm the Order and shall pay such revised price for the Final Product, or may increase the quantities set out in the Order to the Minimum Order Quantities.

No Order. No litigation or other legal proceeding shall have been instituted or threatened, and no governmental or regulatory authority, including any federal or state court of competent jurisdiction, shall have enacted, issued, promulgated, enforced or entered any statute, rule, regulation, executive order, judgment, decree, injunction or other order (whether temporary, preliminary or permanent), which, in either case, is in effect and which has the effect of making the transactions contemplated by this Agreement illegal or unenforceable in any material respect, or otherwise materially prohibits, restrains or hinders consummation of the transactions contemplated hereby or that challenges the validity or enforceability of this Agreement (collectively, an “Order”).

Judicial Order. The Receiving Party may, without breaching or violating Section 8.2 above, further disclose the Disclosing Party’s Confidential Information to the extent the Receiving Party is compelled to do so by operation of law, government regulation, or order of a court of competent jurisdiction, provided that, the Receiving Party shall: # provide reasonable prior written notice of such compelled disclosure so as to permit the Disclosing Party to take action to protect its interests; # provide reasonable assistance to restrict disclosure at the Disclosing Party’s expense, which may include assistance in obtaining a protective order or similar remedy; and # only disclose that portion of the Confidential Information that, in the opinion of the Receiving Party’s legal counsel, it is legally compelled or otherwise required to disclose.

Court Order. LICENSEE may make disclosures of Confidential Information required by a Court Order, provided LICENSEE first gives a timely opportunity to BCM to participate in the proceeding to the extent that the proceeding permits such participation.

Unless otherwise required by the laws and regulations, each payment received by the Facility Agent under Clause 8.3 (Payment by the Borrower) hereof shall be distributed in such order and amount as set out below:
