Any changes to the Services, budget, or other details of a Work Order must be set forth in an amendment to the applicable Work Order (“Change Order”). BI shall not deviate from the details/specifications set forth in a Work Order or change the scope of any Services or Deliverables without a properly executed Change Order. BI shall be solely responsible for any costs or expenses arising from any deviations or changes not authorized by a Change Order.

To request a Material Change, a Party (the "Requesting Party") shall submit to the other Party (the "Responding Party") a written request describing the change that such Party desires ("Change Order"). The Responding Party shall respond to the Change Order within fifteen (15) Business Days of receipt with a written statement # offering to perform the AMR Services in a manner consistent with the Change Order, # offering to perform the Change Order but proposing modifications to it, or # rejecting the Change Order. If the Responding Party responds in accordance with either (i) or (ii) in the preceding sentence, the Responding Party shall include detailed information as to the availability of the Responding Party's personnel and resources to perform the Change Order and the impact, if any, on timing of the completion of the affected AMR Services or the additional or reduced cost of the AMR Services. The Responding Party will use commercially reasonable efforts to minimize any adverse impact on the AMR Services created by the Change Order or any increase in cost or expense that is to be imposed on the Requesting Party. This process will continue until the Parties agree in writing upon the changes to be made, the impact on the timing of the

Change Order Disputes. If Owner and Builder cannot agree on whether certain matters constitute a Change Order, whether a Change Order is required under Section 10.6(a), or the amount of the adjustments in the Contract Price and/or the Delivery Dates of a Change Order proposed under Sections 10.3 or 10.6, then such dispute shall be submitted to resolution pursuant to Article 27 and: # in the case of a Change Order under Section 10.6(a), Builder may proceed with the Change Order; and # in all other cases, Owner shall have the right to direct in writing that Builder proceed with the Change Order, subject to Section 10.1. Without prejudice to each Party’s position in such dispute, in each such instance, the work or other matters contemplated by the proposed Change Order shall be done on the following basis:

Preparation of Change Order. Builder shall submit a Change Order form to Owner setting out a statement of the amount of increase or reduction to the Contract Price on a firm fixed-bid basis, and any adjustment to the Delivery Date as a consequence of the proposed changes to the Work. The Change Order form to be utilized is attached hereto as [Exhibit F]. Builder shall provide documentation of the basis of its price for the Change Order and the proposed adjustment to the Delivery Date. Builder shall not implement any proposed changes to the Work until the Change Order form is approved by Owner in writing.

Execution of Change Order. Each approved Change Order shall be signed by both Parties, numbered, and made a part of this Agreement. Copies of the executed Change Order form shall be exchanged by the Parties.

Change Order Upon Agreed Changes. When Owner and Builder agree on adjustments in the Contract Price and/or adjustments of the Delivery Date, or Modifications in the Specifications or any Contract Documents or otherwise reach agreement upon the adjustments, such agreement shall be effective only upon execution of an appropriate Change Order, signed by the authorized signatories identified in Section 23.3.

Requirement for Executed Change Order. No change in the Work under this Agreement, whether by way of alteration or addition to or deletion of the Work, shall be the basis of a change to the Contract Price or a change in the Delivery Date unless and until such alteration or addition or deletion has been authorized by a Change Order executed and issued in accordance with and in strict compliance with the requirements of this Article and the Contract Documents. In no event shall Builder be obligated or authorized to perform any changes to the Work upon verbal or written direction of Owner which is not in conformity with the requirements of this Article and this Agreement.

Court Order. LICENSEE may make disclosures of Confidential Information required by a Court Order, provided LICENSEE first gives a timely opportunity to BCM to participate in the proceeding to the extent that the proceeding permits such participation.

Order Quantities. Each Order shall be for full batches of the Final Product, and Supplier shall not be required to accept Orders for lesser quantities than specified in Annex 5 (Packaging Process). In the event that Customer wishes to order a quantity of the Final Product of less than the Minimum Order Quantities or minimum batch sizes, Customer shall specify such quantity in an Order and Supplier shall notify Customer within ​ of receipt of any such Order of the revised price for the Final Product to reflect the increased costs to Supplier of producing smaller quantities. Customer may confirm the Order and shall pay such revised price for the Final Product, or may increase the quantities set out in the Order to the Minimum Order Quantities.

No Order. No Governmental Authority shall have enacted, issued, promulgated, enforced or entered any Applicable Law that is in effect and has the effect of making the transactions contemplated by this Agreement illegal or otherwise restraining or prohibiting the consummation of such transactions.
