Change in Executive’s Position. In the event that ​ transfers, demotes, promotes, or otherwise changes Executive’s compensation or position with ​, the restrictions and post-termination obligations set forth in [Sections 10 through 15] of this Agreement shall remain in full force and effect. Executive acknowledges and agrees that the benefits and opportunities being provided to Executive under this Agreement are sufficient consideration for Executive’s compliance with these obligations.

CHANGE IN ELIGIBLE POSITION. Unless otherwise determined by the Committee or the CEO (with respect to individuals who are not [Section 16] Officers), if a Participant changes from one eligible position to another during a Plan Year, the Participant’s Annual Incentive Award for such Plan Year will be prorated based on the number of days such person participated in the Plan during the Plan year in each respective position and shall be determined with respect to the Target Award and Performance Objectives relevant to such respective positions.

Position. Employee shall continue in the employ of Albany performing, in good faith, and to the best of his abilities, the duties of his current position and such other duties that as are assigned to him from time to time by his supervisor, including assisting in identifying and training a successor to whom his duties shall be transitioned. Employee shall be paid at his current salary, and shall continue be eligible for a pro-rated short-term incentive relating to the services rendered through the hereinafter defined Retention Date.

Position. Subject to the terms and provisions of this Agreement, the Company shall cause the Director to be appointed, and the Director hereby agrees to serve the Company in such position upon the terms and conditions hereinafter set forth, provided however, that the Director’s continued service on the Board of Directors of the Company (the “Board”) after the initial one-year term on the Board shall be subject to any necessary approval by the Company’s stockholders.

Position. Your employment will begin on January 3, 2022 (the “Start Date”). Your primary place of work will be ​’s main offices, currently located at 2 Canal Park, Cambridge, MA, 02141. We expect that you will perform the duties and responsibilities typically associated with your position, and other duties assigned to you, in a satisfactory manner and to the best of your abilities. During the course of your employment with CarGurus, your position and duties are subject to change. Also, you are required to follow the policies and procedures of ​, as they may exist and be revised during your employment.

Position. During the Term, on the terms and subject to the conditions set forth in this Agreement, the Company shall employ the Executive and the Executive shall serve the Company as “Chief Executive Officer” and “Chief Scientific Officer.” The Executive shall report to the Company’s Board of Directors (the “Board”).

Position. The Company hereby employs Employee as Chief Operating Officer of the Company. Employee shall report directly to the President/Chief Executive Officer of the Company (the “CEO”) and shall have the duties, authority and responsibilities customarily held by a person holding the position Chief Operating Officer in companies engaged in business similar to the Company’s business and of similar size to the Company. Employee shall render such other services as may be reasonably assigned to him from time to time by the CEO.

Position. Executive is employed by the Company to render services to the Company in the position of President and Chief Executive Officer and HoldCo in the position of President and Chief Executive Officer. Executive shall perform such duties and responsibilities as are normally related to such positions in accordance with the standards of the industry and any additional duties now or hereafter assigned to Executive by the Company or HoldCo, as applicable. Executive shall abide by the rules, regulations, policies, procedures and practices as adopted or modified from time to time in the Company’s or HoldCo’s, as applicable, sole discretion.

Position. Your initial position with the Company will be Chief Medical Officer. This is a full-time position. The Company expects you to work 40 hours per week.

Position. Executive shall continue to serve as the Company’s [Title]. During Executive’s employment with the Company, Executive will devote Executive’s best efforts and substantially all of Executive’s business time and attention to the business of the Company, except for approved vacation periods and reasonable periods of illness or other incapacities permitted by the Company’s general employment policies.
