Change in Business or Credit and Collection Policy. Make any change in the character of its business or materially alter its Credit and Collection Policy, which change or alteration would, in either case, materially adversely change the credit standing required of particular Obligors or potential Obligors or impair, in any material respect, the collectibility of the Receivables generated by it.

material change in the Company’s (or the Business’) cash management practices and its policies, practices and procedures with respect to collection of accounts receivable, establishment of reserves for uncollectible accounts, accrual of accounts receivable, inventory control, prepayment of expenses, payment of trade accounts payable, accrual of other expenses, deferral of revenue and acceptance of customer deposits;

change or alter its cash management procedures or management of working capital, including by accelerating collection of receivables or delaying payment of payables; or

any change in the Collection Policy, other than in accordance with [Section 6.02(o)] or [Section 6.04(j)];

“Credit and Collection Policy” means, as the context may require, those receivables credit and collection policies and practices of each Originator and of CB in effect on the date of this Agreement and described in [Schedule I] to this Agreement, as modified in compliance with this Agreement.

that was originated in accordance with and satisfies in all material respects all applicable requirements of the Credit and Collection Policies;

change in, or introduction of a new, practice or policy of an Agency;

any change in the Credit Policy, other than in accordance with [Section 6.01(h)], [Section 6.02(u)] or [Section 6.04(j)]; or

any change in the name of the Borrower or any Guarantor, its Constating Documents, including the articles of incorporation, partnership agreement, capital structure, capacity or constitution of any such Credit Party, the bankruptcy or insolvency of any Credit Party, the sale of any or all of the business or assets of any Credit Party or any Credit Party being consolidated, merged or amalgamated with any other Person;
