Change in Control Protection Period. If, during a Change in Control Protection Period, the Company terminates Executive’s employment without Cause or Executive terminates his employment for Good Reason, then the Company shall pay or provide the following amounts and benefits to Executive, in addition [[Organization A:Organization]] Accrued Obligations, subject [[Organization A:Organization]] occurrence of the Change in Control:

Change in Control Determination Period. For purposes of this Agreement, “Change in Control Determination Period” means the time period beginning on the date on which a Change in Control occurs and ending twelve (12) months following the Change in Control.

Change in Control Protected Period. For purposes of this Agreement, “Change in Control Protected Period” shall mean the period beginning three months prior to a Change in Control and ending 12 months following a Change in Control.

Potential Change in Control Period. A “Potential Change in Control Period” shall commence when: # the Corporation enters into an agreement, the consummation of which would result in the occurrence of a Change in Control; # the Corporation or any person or group publicly announces an intention to take or to consider taking actions which, if consummated, would result in a Change in Control; # any person or group (other than the Corporation, any subsidiary or any savings, pension or other benefit plan for the benefit of employees of the Corporation or its subsidiaries) becomes the beneficial owner, directly or indirectly, of securities of the Corporation representing 15% or more of either the then outstanding shares of common stock of the Corporation or the combined voting power of the Corporation’s then outstanding securities (not including in the securities beneficially owned by such person or group any securities acquired directly from the Corporation or its affiliates); or # the Board adopts a resolution to the effect that, for purposes of the Plan, a Potential Change in Control Period has commenced. The Potential Change in Control Period shall continue until the earlier of # a Change in Control, or # the adoption by the Board of a resolution stating that, for purposes of the Plan, the Potential Change in Control Period has expired.

Change in Control Determination Period. For purposes of this Agreement, “Change in Control Determination Period” means the time period beginning on the date on which a Change in Control occurs and ending twelve (12) months following the Change in Control.

Definition of Change in Control Period. For purposes hereof, “Change in Control Period” shall mean the period of time commencing three months prior to a Change in Control and ending 12 months after such Change in Control.

Change in Control During Severance Period. In the event [[ViewRay:Organization]] closes a Change in Control transaction while Executive remains employed during the Severance Period, Executive shall have the option to either # remain subject to the terms and conditions of the Impacted Teammate Program under this Agreement or # revert to and become subject to the Change in Control termination and severance provisions as set forth in Executive's Original Agreement.

Termination During Change in Control Period. Notwithstanding any other provision contained herein, if the Executive's employment hereunder is terminated by the Executive for Good Reason or by the Company without Cause (other than on account of the Executive's death or Disability), in each case during the period that begins six (6) months before a Change in Control, defined below, and ends twelve (12) months following such Change in Control (the “Change in Control Period”), the Executive shall be entitled to receive the Accrued Benefits and, subject [[Organization A:Organization]] Executive's execution of the Release which becomes effective within thirty (30) days following the Termination Date, in lieu of the benefits under Section 4.4 hereunder, the Executive shall be entitled to receive the following:
