Change in Business, Change in Control or Executive Office. Engage in any business, or permit any of its Subsidiaries to engage in any business, other than the businesses currently engaged in by the Borrower and any business substantially similar or related thereto (or incidental thereto); or suffer to permit a Change in Control unless all Obligations are paid in full out of the proceeds of initial closing of such action and such payments are listed as a condition to the consummation of such action; or without ten (10) days prior written notification to the Administrative Agent, relocate its chief executive office or state of incorporation or change its legal name; or without the Administrative Agent’s prior written consent, change the date on which its fiscal year ends.

Each Borrower and Guarantor shall not engage in any business other than the business of such Borrower or Guarantor on the Effective Date (after giving effect to the [[Nash-Finch:Organization]] Merger) and any business reasonably related, ancillary or complimentary to the business in which such Borrower or Guarantor is engaged on the Effective Date.

Change in Business. No Servicer will # make any change in the character of its business, which change could impair the collectibility of any Pool Receivable or # make any change in any Credit and Collection Policy that would reasonably be expected to materially adversely affect the collectibility of the Pool Receivables, the enforceability of any related Contract or its ability to perform its obligations under the related Contract or the Transaction Documents, in the case of either [(i) or (ii) above], without the prior written consent of the Administrator and the Majority Group Agents. No Servicer shall make any written change in any Credit and Collection Policy without giving prior written notice thereof to the Administrator and each Group Agent.

Change in Business. Materially change the nature of its business or commence any business materially different from its current business;

It shall not, and it shall ensure that each other Credit Party does not, engage in any material line of business substantially different from those lines of business carried on by it on the date hereof and it shall not change the location from which such line of business is carried on by it, all as described in [Section 12.1(d)].

Engage in any business other than the business purposes permitted by such Loan Party’s Charter Documents and any business substantially similar or related thereto (or incidental thereto); or cease to conduct business materially in the manner permitted by such Loan Party as of the Closing Date or the date such Loan Party becomes a party to this Agreement; or without Bank’s prior written consent, suffer or permit a Change in Control; or without twenty (20) days’ prior written notification to Bank, relocate its chief executive office or state of formation; or without Bank’s prior written consent, change the date on which its fiscal year ends.
