Change in Business contract clause examples

Change in Business. No Servicer will # make any change in the character of its business, which change could impair the collectibility of any Pool Receivable or # make any change in any Credit and Collection Policy that would reasonably be expected to materially adversely affect the collectibility of the Pool Receivables, the enforceability of any related Contract or its ability to perform its obligations under the related Contract or the Transaction Documents, in the case of either [(i) or (ii) above], without the prior written consent of the Administrator and the Majority Group Agents. No Servicer shall make any written change in any Credit and Collection Policy without giving prior written notice thereof to the Administrator and each Group Agent.

Change In Business. Make any material change in the scope or nature of the business objectives, purposes or operations of Borrowers, or undertake or participate in activities other than the continuance of the present business of the Borrowers.

Material Change in Business. No Borrower Party shall make any material change in the nature of its business as carried on at the date hereof.

No Loan Party or Subsidiary will engage in any material line of business other than the business engaged in by the Loan Parties and their respective Subsidiaries on the Closing Date; provided, however, that any Loan Party or Subsidiary may engage in any business that is incidental, complementary, ancillary, supportive, synergistic or reasonably related to any line of business conducted on the Closing Date or reasonable extensions of any such businesses (and non-core incidental businesses acquired in connection with any acquisition or Investment or other immaterial businesses).
