Solvency Certificate. The Borrower shall have delivered to the Administrative Agent a certificate, in the form attached hereto as [Exhibit J], and certified as accurate by the chief financial officer of the Borrower.

“Solvency Certificate. TheCertificate” shall mean the certificate of the Borrower shall have deliveredin the form of [Exhibit E] hereto, or otherwise in form acceptable to the Administrative Agent a certificate, in the form attached hereto as [Exhibit J], and certified as accurate by the chief financial officer of the Borrower.Agent.

Solvency. The BorrowerAdministrative Agent shall have delivered toreceived a solvency certificate from a Financial Officer of the Administrative Agent a certificate,Borrower substantially in the form attached hereto as [Exhibit J], and certified as accurate by the chief financial officer of the Borrower.D].

“Solvency Certificate. The Borrower shall have delivered to the Administrative AgentCertificate” means a certificate, in the form attached hereto as [Exhibit J], and certified as accurateSolvency Certificate executed by the chief financial officer of the Borrower substantially in the form of [Exhibit J] or any other form approved by the Administrative Agent and the Borrower.

Solvency Certificate. The BorrowerAdministrative Agent shall have delivered to the Administrative Agentreceived a certificate,solvency certificate in the form attached hereto asof [Exhibit J],H] dated the Closing Date and certified as accuratesigned by the chief financial officera Financial Officer of the Borrower.

Solvency Certificate. The Borrower shall have delivered toOn the Closing Date, the Administrative Agent shall have received a certificate,certificate from the Chief Financial Officer, the Treasurer, the Vice President-Finance or any other senior financial officer of Holdings and the Borrower substantially in the form attached hereto asof [Exhibit J], and certified as accurate by the chief financial officer of the Borrower.I].

Solvency Certificate. The BorrowerAdministrative Agent shall have deliveredreceived a solvency certificate, dated as of the Closing Date and after giving effect to the Administrative Agent a certificate,Transactions, from an authorized officer of the Borrower, substantially in the form attached hereto asof [Exhibit J], and certified as accurate by the chief financial officer of the Borrower.D].

Solvency Certificate. The BorrowerAdministrative Agent shall have delivered to the Administrative Agentreceived a certificate,solvency certificate substantially in the form attached hereto asof [Exhibit J],H] to the Credit Agreement dated the Second Amendment Effective Date and certified as accuratesigned by the chief financial officera Financial Officer of the Borrower.

Solvency Certificate. The BorrowerAdministrative Agent shall have deliveredreceived a Solvency Certificate signed by a Responsible Officer of the Borrower as to the Administrative Agent a certificate, in the form attached hereto as [Exhibit J],financial condition, solvency and certified as accurate by the chief financial officerrelated matters of the Borrower.Borrower and its Subsidiaries, after giving effect to the initial Borrowings under the Loan Documents and the other transactions contemplated hereby.

Financial Condition/Solvency Certificate. The Borrower shall have delivered to the Administrative Agent a certificate, in form and substance reasonably satisfactory to the form attached hereto as [Exhibit J],Administrative Agent, and certified as accurate by the chief financial officer of the Borrower.Borrower, that # after giving effect to the Transactions, the Borrower and its Subsidiaries, on a Consolidated basis are Solvent, # attached thereto are calculations evidencing compliance on a pro forma basis after giving effect to the Transactions with the covenants contained in [Section 9.11] and # attached thereto is a calculation of the Applicable Margin.
