A Compliance The Plan is intended to comply with Code Section 409A of the Code to the extent subject thereto, and, accordingly, to the maximum extent permitted, the Plan shall be interpreted and administered to be in compliance therewith. Notwithstanding the foregoing, neither the Company nor the Committee shall interpret, applyhave any obligation to take any action to prevent the assessment of any additional tax or penalty on any Participant under Section 409A of the Code and administerneither the Plan inCompany nor the least restrictive manner necessaryCommittee will have any liability to comply therewith and without resulting in any increase in the amounts owed hereunder by the CompanyParticipant for such additional tax or penalty.
