Expense Reimbursement. The Company will reimburse the Executive for all reasonable travel and other expenses (including periodic dues and membership fees pertaining to attorney licensing registrations, professional associations and industry groups) incurred by the Executive in connection with the performance of his or her duties and obligations under this Agreement. The Executive shall comply with such reasonable limitations and reporting requirements with respect to expenses as may be established by the Company from time to time.

Reimbursement of Expenses. Commencing as of the execution of this Agreement, the Company willshall reimburse the Executive for allsuch reasonable and necessary travel and other expenses (including periodic dues and membership fees pertaining to attorney licensing registrations, professional associations and industry groups)as are incurred by the Executive in connectioncarrying out her duties hereunder, consistent with the performanceCompany’s standard policies and annual budget. The Company will also reimburse Executive for the reasonable fees of his or her duties and obligations undercounsel in negotiating this Agreement. The Company’s obligation to reimburse Executive hereunder shall complybe contingent upon the presentment by Executive of an itemized accounting of such expenditures in accordance with such reasonable limitations and reporting requirements with respect to expenses as may be established by the Company from time to time.Company’s standard policies.

Business Expenses. The Company willagrees to reimburse the Executive for all reasonable traveland necessary travel, business entertainment and other business expenses (including periodic dues and membership fees pertaining to attorney licensing registrations, professional associations and industry groups) incurred by the Executive in connection with the performance of his or her duties and obligations under this Agreement. The ExecutiveAgreement in accordance with, and subject to, the Company’s standard policies and procedures. Such reimbursements shall comply with such reasonable limitations and reporting requirements with respect to expenses as may be establishedmade by the Company from time to time.on a timely basis upon submission by Executive of vouchers in accordance with the Company’s standard policies and procedures.

The Company will reimburse the Executive for all reasonable travel andtravel, entertainment or other expenses (including periodic dues and membership fees pertaining to attorney licensing registrations, professional associations and industry groups) incurred by the Executive in furtherance or in connection with the performance of his or herExecutive’s duties hereunder, in accordance with the Company’s expense reimbursement policy and obligations under this Agreement. The Executive shall comply with such reasonable limitations and reporting requirements with respect to expensesof the Internal Revenue Service as may be established by the Companyin effect from time to time.

Expenses. The Company willwill, in accordance with applicable Company policies and guidelines, reimburse the Executive for all reasonable travel and othernecessary expenses (including periodic dues and membership fees pertaining to attorney licensing registrations, professional associations and industry groups) incurred by the Executive in connection with theExecutive’s performance of his or her duties and obligations under this Agreement. The Executive shall comply with such reasonable limitations and reporting requirements with respect to expenses as may be established byservices on behalf of the Company from timeduring Executive’s employment with the Company, on terms no less favorable than for any other U.S. based executive officer of the Company. In addition, the Company will reimburse, promptly upon presentation of invoices, Executive’s fair and reasonable expenses for legal or other advisors incurred in the review and finalization of this Agreement and related documentation. Subject to time.the preceding, the reimbursement for all such expenses shall be paid pursuant to the Company’s policies and practices, following Executive’s submission of proper documentation for such expenses.

The Company willshall reimburse the Executive for all reasonablereasonable, documented, out-of-pocket travel and other business expenses (including periodic dues and membership fees pertaining to attorney licensing registrations, professional associations and industry groups) incurred by the Executive in connection with the performance of his or herExecutive’s duties and obligations under this Agreement. The Executive shall comply with such reasonable limitations and reporting requirements with respect to expenses as may be established by the Company in accordance with the Company’s applicable expense reimbursement policies and procedures as are in effect from time to time.

The Executive shall comply with such reasonable limitations and reporting requirements with respect to expenses as may be established by the Company in effect from time to time.time related to such reimbursable expenses.

The Executive shall comply withresponsibilities subject to such reasonable limitations and reporting requirements with respect to expensessubstantiation and documentation as may be establishedspecified by the Company from time to time.Employer.

The Executive shall comply with such reasonable limitations and reporting requirements with respect to expenses as may be established by the Company from time to time.other expenses.
