If Agent shall request instructions from Lenders with respect to any act or action (including failure to act) in connection with this Agreement or any Other Document, Agent shall be entitled to refrain from such act or taking such action unless and until Agent shall have received instructions from the Required Lenders; and Agent shall not incur liability to any Person by reason of so refraining. Without limiting the foregoing, Lenders shall not have any right of action whatsoever against Agent as a result of its acting or refraining from acting hereunder in accordance with the instructions of the Required Lenders.

If Agent shall request instructions from Lenders with respect to any act or action (including failure to act) in connection with this Agreement or any 1">Other1">other Loan Document,3"> then Agent shall be entitled to refrain from such act or taking such action unless and until 5">Agent5">it shall have received instructions from 7">the Required Lenders;7">Lenders, and Agent shall 9">not incur11"> no liability to any Person by reason of so refraining. 13">Agent shall be fully justified in failing or refusing to take any action hereunder or under any other Loan Document for any reason. Without limiting the foregoing, 15">Lenders15">no Lender shall17"> not have any right of action whatsoever against Agent as a result of 19">its19">Agent’s acting or refraining from acting hereunder 21">or under any other Loan Document in accordance with the instructions of 23">the Required Lenders.

Agent 2">shall2">may at any time request instructions from Lenders with respect to any 4">act4">actions or 6">action (including failure to act) in connection with6">approvals which by the terms of this Agreement or 8">of any 10">Other Document,10">of the Financing Documents Agent is permitted or desires to take or to grant, and if such instructions are promptly requested, Agent shall be12"> absolutely entitled to refrain from 14">such act14">taking any action or 16">taking such16">to withhold any approval and shall not be under any liability whatsoever to any Person for refraining from any action 18">unless and18">or withholding any approval under any of the Financing Documents until 20">Agent20">it shall have received 22">such instructions from 24">Required Lenders or all or such other portion of the 26">Required Lenders; and Agent26">Lenders as shall 28">not incur liability to any Person28">be prescribed by 30">reason of so refraining.30">this Agreement. Without limiting the foregoing, 32">Lenders32">no Lender shall34"> not have any right of action whatsoever against Agent as a result of 36">its36">Agent acting or refraining from acting 38">hereunder38">under this Agreement or any of the other Financing Documents in accordance with the instructions of 40">Required Lenders (or all or such other portion of the 42">Lenders as shall be prescribed by this Agreement) and, notwithstanding the instructions of Required 44">Lenders.44">Lenders (or such other applicable portion of the Lenders), Agent shall have no obligation to take any action if it believes, in good faith, that such action would violate applicable Law or exposes Agent to any liability for which it has not received satisfactory indemnification in accordance with the provisions of [Section 11.6].
