Certain Property and Information contract clause examples

Property Information. The Property Information delivered or made available to Purchaser pursuant to Section 5(b) is all Property Information in Seller’s custody, control and possession.

Property Information. Seller has delivered copies or within ten (10) Business Days of the Contract Date will make available to Purchaser digital copies of all information and documentation included on Exhibit C attached hereto or otherwise relating to the Premises that is in the possession or control of Seller (collectively, the “Property Information”). For the avoidance of doubt, Seller agrees to reasonably cooperate with Purchaser in connection with delivering any additional items requested by Purchaser during the Due Diligence Period which are in Seller’s possession or control. Except as is expressly provided for in [Section 6(a)], Purchaser acknowledges that it shall have no right to rely on the accuracy of any of the Property Information obtained from Seller or Seller’s agents, that such information is being made available solely as a courtesy and that Seller has not, and shall not be deemed to have, made any representations or warranties whatsoever, express or implied, with respect to the completeness, content or accuracy of the Property Information or with respect to any of the matters disclosed thereby.

Certain Information. The Custodian shall promptly notify the Trustee upon receipt by the Custodian of written notice that any Person asserts or seeks to assert a lien, encumbrance or adverse claim against any portion or all of the property credited to any of the Accounts. The Custodian will send copies of all statements and confirmations that it may receive for each of the Accounts simultaneously to the Issuer and the Trustee.

Certain Information. Any information provided in writing by Purchaser or any of its directors, officers, employees, Affiliates, agents or other representatives for inclusion or incorporation by reference in the Registration Statement when filed with the SEC and when the Registration Statement is declared effective under the Securities Act shall not contain any untrue statement of a material fact or omit to state any material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading; provided, however, that no representation or warranty is made by Purchaser with respect to # statements included or incorporated by reference in the Registration Statement based on information supplied by or on behalf of the Company or any of its directors (other than those who are representatives of Purchaser), officers, employees, Affiliates, agents or other representatives, or # any financial projections or forward-looking statements.

Certain Information. The Administrative Agent will have received at least three (3) Business Days prior to the Closing Date all documentation and other information about the Borrower, Target and their respective Subsidiaries (to the extent any such Person is required to become a Loan Party) required by bank regulatory authorities under applicable “know-your-customer” and anti-money laundering rules and regulations, including the USA PATRIOT Act, to the extent requested from the Borrower at least ten (10) Business Days prior to the Closing Date.

To the extent not done prior to the Date of this Agreement, and to the extent in Seller’s possession, Seller shall deliver or otherwise make available to Purchaser certain Property-related documents (the “Property Information”), including books and records (the “Books and Records”). Seller may establish an electronic data site (the “Property Data Site”) for the purpose of providing the Property Information to Purchaser. Except for and expressly excluding all Excluded Materials and the like, Seller shall cooperate in good faith with Purchaser to provide Purchaser with all material documents and reports relating to the Property reasonably requested by Purchaser to the extent they are in Seller’s or its agent’s or property manager’s possession, and including without limitation reconciliation backup for additional rent under the Apple Leases.

Property Information. Prior to the Effective Date, Sellers have made available to Purchaser the documents and information set forth on [Schedule 4.1] attached hereto (collectively, the "Property Information") regarding the Properties and may, after the Effective Date, make available to Purchaser certain other documents and information regarding the Properties. Under no circumstances shall Purchaser be entitled to review any Sellers’ appraisals relating to any Property or any internal financial information (other than Property-level financials) or audits relating to any Property or any other Proprietary Information unless delivered by Sellers in their sole discretion. All of the Property Information or copies thereof have been and will be provided in their current condition without any representations or warranties as to the accuracy, sufficiency or completeness thereof, except as expressly set forth in Section 8.1.

Certain Property and Information. Upon termination of the Employment, Executive will deliver to the Company any and all property owned or leased by the Company or any Affiliate and any and all materials and information (in whatever form) relating to the business of the Company or any Affiliate, including without limitation all customer lists and information, financial information, business notes, business plans, documents, keys, credit cards and other Company-provided equipment. All Company property will be returned promptly and in good condition except for normal wear.

Delivery of Property Information: Within 10 days after the effective date, to the extent in Seller's possession, Seller will deliver to Buyer: (Check all that apply.)
