This Lease is subject to any recorded covenants, conditions or restrictions on the Project or Property, as the same may be amended, amended and restated, supplemented or otherwise modified from time to time (the “CC&Rs”), provided that Landlord agrees not to voluntarily execute any further amendments, restatements, supplements or modifications of the CC&Rs that would materially and adversely affect Tenant’s rights or obligations hereunder. Tenant shall, at its sole cost and expense, comply with the CC&Rs.

Assessments. So long as Developer is in control under the CC&Rs, Buyer shall be exempt from paying any and all applicable assessments (but will have to pay TAP fees and the amenity assessment) in the CC&Rs to the Developer during the Seller’s period of ownership, including, but not limited to regular and special assessments. Seller also agrees to exempt bona fide home builders from assessments in the CC&Rs, during the same time period.

“Annual Reporting Package” shall mean the reporting package described on Exhibit III-CC].

[Section 2(bb)] the definition of “Service” is hereby renumbered as [Section 2(cc)].

Notwithstanding anything to the contrary contained herein, no Liens shall be permitted to exist, directly or indirectly, on # Pledged Equity or Residual Interests, other than Liens in favor of the Collateral Agent and Liens permitted by [Section 7.01(d), (e) or (cc)])])] (and, in the case of Equity Interests in the Warehouse Facility Entity, Liens securing Permitted Warehouse Indebtedness of the Warehouse Facility Entity), # Mortgage Loans, other than Liens in favor of the Collateral Agent and Liens permitted by [Section 7.01(d), (e), (n), (cc), (gg) or (hh)])])])])])] or # Mortgaged Property or REO Assets held by a Loan Party, in each case, other than Liens in favor of the Collateral Agent, Prior Liens and Permitted Encumbrances, or Liens permitted by [Section 7.01(d), (e), (l), (cc) or (hh)])])])])].

“DRB Procedures” means the Dispute Resolution Board Procedures attached hereto as [Exhibit CC] (with such changes thereto as contained in the version attached to the DRB Member Agreement).
