For purposes of this Agreement, the term “cause” means # any conviction of the Executive for a felony or misdemeanor (other than for minor motor vehicle offenses or other minor offenses); # any material breach by the Executive of this Agreement or the willful failure of the Executive to comply with any lawful directive of the Supervisor, the President or the Board or any lawful policy of the Company; or # dishonesty or gross negligence by the Executive in the performance of his duties hereunder.
Cause. The Company may, at any time, by written notice to the Executive, terminate the Executive’s employment for “Cause” (as defined below) and, upon such termination, the Term shall terminate and the Executive shall be entitled to receive no further amounts or benefits hereunder, except for any Base Salary earned but not paid prior to such termination. In addition, all vested but unexercised options granted to the Executive in connection with services rendered under this Agreement and explicitly referencing this [Section 4.1] (if any) as of the date of the termination for Cause shall lapse and be forfeited by the Executive within ten (10) days following the date of termination.
Termination by the Company for Cause. The Company may terminate Executive’s employment hereunder for Cause at any time after providing written notice to Executive. For purposes of this Agreement, the term “Cause” shall mean the Company’s determination that the Executive has engaged in any of the following:

In no event shall a termination of the Executive’s employment for Cause occur unless the Company gives written notice to the Executive in accordance with this Agreement stating with reasonable specificity the events or actions that constitute Cause. In the event that the Term of Employment is terminated by the Company for Cause, Executive shall be entitled only to the Accrued Obligations.
By the Company for Cause. The Company may terminate the Executive’s employment hereunder for Cause (as defined below) at any time upon notice to the Executive setting forth in reasonable detail the nature of such Cause. The following, as determined by the Company, shall constitute “Cause” for termination:

The Company may terminate the Executive’s employment at any time for Cause upon written notice to the Executive, in which event all payments under this Agreement shall cease, except for any amounts earned, accrued and owing but not yet paid under Section 2 above and any benefits accrued and due under any applicable benefit plans and programs of the Company.
Termination by the Company for Cause. The Company may terminate Executive’s employment under this Agreement for “Cause” by delivery of written notice to Executive. Any notice of termination given pursuant to this Section 4.1.1 shall effect termination as of the date of the notice, or as of such other date as specified in the notice.
For Cause. The Company shall have the right at any time, exercisable upon written notice, to terminate Executive’s employment for Cause. As used in this Agreement, “Cause” shall mean that Executive:
