Cause or Resignation. If Executive’s employment terminates under Paragraph 7(d) or (e), Executive shall receive # payment of any earned but unpaid Base Salary earned up to and including the date of termination and # reimbursement of any unreimbursed business expenses (together, the “Accrued Obligations”).

Termination for Cause or Resignation. If, prior to the end of the Consulting Period, the Employee’s service hereunder is terminated # by the Company for Cause or # by the Employee for any reason, the Employee shall not be entitled to any further compensation under this Agreement (including the Consulting Fee), other than pursuant to Section 3(a).

If, prior to the Separation Date, the Employee’s service hereunder is terminated # by the Company for Cause or # by the Employee for any reason, the Employee shall not be entitled to any further compensation under this Agreement or the Employment Agreement, other than pursuant to Section 3(a).

If the Executive’s employment is terminated by the Company for Cause, or if the Executive voluntarily resigns employment with the Company, the Executive shall not be entitled to receive compensation or other benefits for any period after such termination, except for any base salary earned through the date of termination. “Cause” shall exist when there has been a determination by the Board that one or more of the following events occurred with respect to the Executive:
