Cash Compensation contract clause examples

Cash Compensation. The Company shall pay to the Executive compensation for his/her services during the Contract Period as follows:

Each Outside Director shall be paid a cash retainer (“Annual Retainer”) each year consisting of a Base Fee and an additional amount(s) based on his/her committee assignment(s), as set forth in Paragraph 5, below. The Annual Retainer shall be paid in equal quarterly installments calculated starting from the date of the Company's Annual Meeting of Stockholders (“Annual Meeting”) at which the Outside Director is first elected to the Board. If the Outside Director is elected to the Board other than at an Annual Meeting, the Annual Retainer shall be paid on a pro rata basis from the date of such election until the date of the next Annual Meeting. Upon an Outside Director’s termination of membership on the Board, no further Annual Retainer payments shall be due.

Cash Compensation. Your salary will be at a rate of $500,000 per year, payable in accordance with the company’s normal payroll and withholding practices, although your salary is subject to change from time to time during your employment at the discretion of the Compensation Committee of our Board of Directors.

Non-employee directors (“Outside Directors”) will receive the following cash retainers, paid quarterly in arrears, for their service on the Board of Directors (the “Board”) and its committees:

Cash Compensation. Consultant shall be paid for the Services rendered hereunder in the amount of Two Hundred Fifty Thousand Dollars ($250,000.00) payable in equal monthly payments of $41,666.67, payable on the 10th day of each month during the term of this Agreement beginning January 10, 2022. Consultant shall receive a 1099 reflecting the gross payments made to him during the term hereof;

Cash Compensation. The Company will pay you a starting salary at the rate of $415,000 per year, less required deductions and withholdings, payable in accordance with the Company’s standard payroll schedule. This salary will be subject to adjustment pursuant to the Company’s employee compensation policies in effect from time to time. As an exempt salaried employee, you will be expected to work hours as required by the nature of your work assignments, including hours beyond the Company’s normal business hours, and you will not be eligible for, nor entitled to receive, overtime compensation.
