Cash Compensation. Your salary will be at a rate of $500,000 per year, payable in accordance with the company’s normal payroll and withholding practices, although your salary is subject to change from time to time during your employment at the discretion of the Compensation Committee of our Board of Directors.

Cash Compensation. Your annualized base salary will be $425,000, less payroll deductions and all required tax withholdings, payable in accordance with the Company’s standard payroll schedule. Your salary will also be subject to adjustment pursuant to the Company’s employee compensation policies in effect from time to time. In addition, within 30 days following your start date, you and the Company’s Chief Executive Officer will set certain goals for your first year of employment, applicable to you. Upon achievement of those goals, you will be eligible for a target bonus rate of 40%, prorated for any partial year. This bonus will be based on goal achievement and the value created by your performance during the applicable performance year, subject to approval of the Company’s Board of Directors.

Cash Compensation. The Company will pay you a starting salary at the rate of $14,583.34 per pay period (twenty four pay periods per year), payable in accordance with the Company’s standard payroll schedule. This salary will be subject to adjustment pursuant to the Company’s employee compensation policies in effect from time to time. In addition, you will be eligible to be considered for an incentive bonus for each fiscal year of the Company. The bonus (if any) will be awarded based on objective or subjective criteria established by your supervisor and approved by the Company’s Chief Executive Officer. Your target bonus will be equal to 30% of your annual base salary. Any bonus for the fiscal year in which your employment begins will be prorated, based on the number of days you are employed by the Company during that fiscal year. Any bonus for a fiscal year is expected to be paid within 2.5 months after the close of that fiscal year, but only if you are still employed by the Company at the time of payment. The determinations of the Company’s Board of Directors or its Compensation Committee with respect to your bonus will be final and binding.

Board retainer: $40,000 per year for each non-employee director, paid in quarterly installments in arrears.

Cash Compensation. Each Non-Employee Directors will receive the following cash compensation:

Your pay will be periodically reviewed as a part of the Company’s regular reviews of compensation. You will be eligible to participate in the Company’s short term cash incentive bonus plans at a target of 75% of your annual base salary.

Cash Compensation.As compensation for the Services as described above, the Company shall pay Executive Chairman thirty thousand dollars ($30,000) per month during the Term.

Cash Compensation. Your annualized base salary will be $440,000, less payroll deductions and all required tax withholdings, payable in accordance with the Company’s standard payroll schedule (“Base Salary”). Your Base Salary will also be subject to upward adjustment pursuant to the Company’s employee compensation policies in effect from time to time. In addition, you will be eligible to receive an annual bonus with a target bonus of 40% of your Base Salary (“Annual Bonus”), which shall be based on goal achievement during the applicable performance year, subject to approval of the Company’s Board of Directors. The goals for your first year of employment will be established by you and the Company’s Chief Executive Officer within 30 days following your start date, and within sixty (60) days of the start of each calendar year thereafter. For calendar year 2019, you will eligible to receive the entirety of your Annual Bonus (rather than a pro-rated bonus) regardless of the fact that you will not have been employed by the Company for a full calendar year this year. The Annual Bonus will be paid to you in accordance with the Company’s annual performance review and bonus payment schedule.
