any Investment in Holdings, the Borrower or any Restricted Subsidiary or any Person that becomes a Restricted Subsidiary as a result of such Investment or that is consolidated or merged with or into, or transfers all or substantially all of the assets of it or an operating unit or line of business to, Holdings or a Restricted Subsidiary;

any Investment in Holdings, the Borrowerby Holdings or any of its Restricted Subsidiary or anySubsidiaries in a Person (including, to the extent constituting an Investment, in assets of a Person that becomesrepresent substantially all of its assets or a division, business unit or product line, including research and development and related assets in respect of any product) that is engaged directly or through entities that will be Restricted SubsidiarySubsidiaries in a Similar Business if as a result of such Investment or that is consolidated or merged with or into, or transfers all or substantially all of the assets of it or an operating unit or line of business to, Holdings or a Restricted Subsidiary;Investment:

by the Borrower​ or any Restricted Subsidiary or any Person that becomesin a Restricted SubsidiaryPerson, if as a result of such Investment # such Person becomes a Restricted Subsidiary or that# such Person is merged, consolidated or mergedamalgamated with or into, or transfers all or conveys substantially all of its assets to, or is liquidated into, the assets of it or an operating unit or line of business to, Holdings​ or a Restricted Subsidiary;
