Subject to the terms and provisions of the Plan, the Committee, at any time and from time to time, may grant Performance-Based Awards to a Plan participant in such amounts and upon such terms as the Committee shall determine.

SECTION # Performance Awards. The Committee is authorized to grant Performance Awards to Participants with the following terms and conditions and with such additional terms and conditions, in either case not inconsistent with the provisions of the Plan, the Committee, at any time and from time to time, may grant Performance-Based Awards to a Plan participant in such amounts and upon such terms as the Committee shall determine.determine:

Grant of Cash-Based Awards. Subject to the terms and provisions of the Plan, the Committee, at any time and from time to time, may grant Performance-Cash-Based Awards to a Plan participantParticipants in such amounts and upon such terms as the Committee shallmay determine.

Award of Performance Units/Performance Shares. Subject to the terms and provisions of thethis Plan, the Committee, at any time and from time to time, may grant Performance-Based Awardsaward Performance Units and/or Performance Shares to a Plan participantParticipants in such amounts and upon such terms as the Committee shall determine.

Subject to the terms and provisions of thethis Plan, the Committee,Committee will have the authority and discretion to determine the extent to which Awards under this Plan will be structured to conform to the requirements applicable to Performance-based Compensation, and to take such action, establish such procedures, and impose such restrictions at anythe time and from time to time, may grant Performance-Based Awards to a Plan participant in such amounts and upon such termsawards are granted as the Committee determines to be necessary or appropriate to conform to the applicable requirements relating thereto. Notwithstanding any provision of this Plan to the contrary, if an award under this Plan is intended to qualify as Performance-based Compensation, and a provision of this Plan would prevent such award from so qualifying, such provision shall determine.be administered, interpreted and construed to carry out such intention (or disregarded to the extent such provision cannot be so administered, interpreted or construed).

GRANT OF OTHER INCENTIVE AWARDS.
