Capitalized terms used but not defined herein shall have the meaning assigned to such terms in the Credit Agreement.

Defined Terms. Capitalized terms used herein but not otherwise defined herein shall have the meanings provided to such terms in the Term Loan Agreement.

Capitalized terms (other than “Participant”) are defined in the Participant’s employment agreement.
