“Capital Stock” means, with respect to any Person, any and all shares, interests, participations or other equivalents (however designated) of or in such Person’s capital stock or other equity interests, and options, rights or warrants to purchase such capital stock or other equity interests, whether now outstanding or issued after the Closing Date, including, without limitation, all Disqualified Stock and Preferred Stock, but excluding any debt security that is convertible into, or exchangeable for, Capital Stock.

“Capital Stock” means,shall mean, with respect to any Person, any and all shares, interests, participations or other equivalents (however designated) of or in such Person’s capital stock or partnership, limited liability company or other equity interests,interests at any time outstanding, and options, rightsany and all rights, warrants or warrants to purchaseoptions exchangeable for or convertible into such capital stock or other equity interests, whether now outstanding or issued after the Closing Date, including, without limitation, all Disqualified Stock and Preferred Stock, butinterests (but excluding any debt security that is exchangeable for or convertible into, or exchangeable for, Capital Stock.into such capital stock).

“Capital Stock” means, with respect toof any Person,Person means any and all shares, interests,shares of, interests in, rights to purchase, warrants or options for, participations in, or other equivalents (however designated)of, in each case however designated, the equity of or in such Person’s capital stock or other equity interests, and options, rights or warrants to purchase such capital stock or other equity interests, whether now outstanding or issued after the Closing Date, including, without limitation, all Disqualified Stock and Preferred Stock,Person, but excluding any debt security that issecurities convertible into, or exchangeable for, Capital Stock.into such equity.

“Capital Stock” means, with respect to any Person,means any and all shares, interests, participationsparticipations, preferred equity certificates, convertible preferred equity certificates or other equivalents (however designated) of or in such Person’s capital stock of a corporation, any and all equivalent ownership interests in a Person (other than a corporation), including partnership interests and membership interests (whether general or limited), and any and all warrants, rights or options to purchase or other equity interests, and options,arrangements or rights or warrants to purchase such capital stock or other equity interests, whether now outstanding or issued afteracquire any of the Closing Date, including, without limitation, all Disqualified Stock and Preferred Stock,foregoing, but excluding for the avoidance of doubt any debt security that isIndebtedness convertible into,into or exchangeable for, Capital Stock.for any of the foregoing.

“Capital Stock” means, with respect to any Person, anyall of the shares of capital stock of (or other ownership or profit interests in) such Person, all of the warrants, options or other rights for the purchase or acquisition from such Person of shares of capital stock of (or other ownership or profit interests in) such Person, all of the securities convertible into or exchangeable for shares of capital stock of (or other ownership or profit interests in) such Person or warrants, rights or options for the purchase or acquisition from such Person of such shares (or such other interests), and all shares, interests, participationsof the other ownership or other equivalents (however designated) of orprofit interests in such Person’s capital stockPerson (including partnership, member or other equity interests,trust interests therein), whether voting or nonvoting, and whether or not such shares, warrants, options, rights or warrants to purchase such capital stock or other equity interests, whether nowinterests are outstanding or issued after the Closing Date, including, without limitation, all Disqualified Stock and Preferred Stock, but excludingon any debt security that is convertible into, or exchangeable for, Capital Stock.date of determination.
