(a) In the event of Master Lease Termination (as hereinafter defined) prior to the termination of the Sublease, at Landlords option, Sublessee agrees to attorn to Landlord and to recognize Landlord as Sublessees landlord under the Sublease and, if Landlord so elects, Landlord
Landlords Insurance. All insurance maintained by Landlord shall be for the sole benefit of Landlord and under Landlords sole control.
To supply to the Landlord and the Superior Landlord all plans and specifications the Landlord and/or the Superior Landlord may reasonably require to identify any proposed works and to carry out all works only in accordance with such approved plans and specifications and to the reasonable satisfaction of the Landlord and the Superior Landlord;
a Landlords Representative may be an employee of the Landlord or a Group Company of the Landlord;
If Landlord shall accept Tenants Recapture Offer pursuant to Section 7.02 above (i.e., have this Lease assigned to Landlord or sublet by Landlord) Tenant shall then execute and deliver to Landlord, or to anyone designated or named by Landlord, an assignment or sublease, as the case may be, in either case in a form reasonably satisfactory to Landlords counsel.
Notwithstanding the foregoing, Landlord shall be entitled to retain from the Landlords Allowance, the reasonable expenses and fees of the Landlords construction manager that are attributable to such managers involvement with the construction of the Tenant Improvements and the out-of-pocket costs actually incurred by Landlord in connection with the Tenant improvements, including, without limitation, the costs and fees of third-party architects, engineers and consultants (collectively, the Landlords Costs). At such time as the Landlords Allowance has been entirely disbursed, Tenant shall, within ten (10) business days after written demand, pay to Landlord any Landlords Costs not yet paid to Landlord.
Landlord shall perform items (i) and (ii) of Landlords Work (described below) within a reasonable period after the Commencement Date and shall perform item # of Landlords Work within a reasonable period after Tenant notifies Landlord in writing which items listed on Exhibit C designated for Tenant that Tenant has elected for Landlord to perform. Landlord shall cause Landlords Work to be performed in a good and workmanlike manner, in accordance with Legal Requirements and shall use reasonable efforts not to unreasonably interfere with Tenants use of the Premises during the performance of Landlords Work pursuant to this paragraph. Tenant acknowledges that Landlord shall require access to the Premises after the Commencement Date in order to complete Landlords Work. Landlord and its contractors and agents shall have the right to enter the Premises to complete Landlords Work upon reasonable prior written notice to Tenant and Tenant shall reasonably cooperate with Landlord in connection with the same. Tenant acknowledges that Landlords completion of Landlords Work may adversely affect Tenants use and occupancy of the Premises. Tenant waives all claims against Landlord in connection with the construction of Landlords Work in accordance with this paragraph including, without limitation, claims for rent abatement. As used herein, the term Landlords Work shall mean # the installation of the existing glasswash, the cost of which shall be paid for by Landlord, # replacement of the existing dishwasher in the kitchen, the cost of which shall be paid for by Landlord and # the work described on Exhibit C which Tenant elects in writing on or before the date that is 30 days after the Commencement Date to have Landlord perform. Landlord shall be responsible for up to $5,000 of the cost of Landlords Work described on Exhibit C elected by Tenant. Tenant shall be responsible for any costs incurred for such Landlords Work elected by Tenant in excess of $5,000 (as reflected in the budget shown on Exhibit C) and for any additional costs of Landlords Work in excess of $5,000 resulting from delays caused by Tenant or changes made by Tenant to the scope of Landlords Work, which excess costs shall be payable by Tenant within 10 business days after receipt written request therefor from Landlord. Landlord shall be responsible for increases in the cost of Landlords Work shown in the budget attached as Exhibit C not resulting from delays caused by Tenant or changes made by Tenant to the scope of Landlords Work.
Within 7 days (or sooner if necessary) of receipt to produce to the Landlord and the Superior Landlord a certified copy of any notice order permission or proposal given issued or made to or on the Tenant in respect of the Premises by any competent authority pursuant to an Act of Parliament affecting the Premises or their use and at the request of the Landlord and/or the Superior Landlord to make or join with the Landlord and/or the Superior Landlord in making such objections or representations in respect of it as the Landlord and/or the Superior Landlord may reasonably require;
If the Landlord or Superior Landlord loses rating relief at any time because it has been allowed to the Tenant or anyone else to make good the loss to the Landlord or the Superior Landlord (as appropriate) on demand;
Building Directory. In the event that Landlord elects, in its sole discretion, to install a directory in the lobby of the Building, Landlord will list, at Landlords expense, the name of Tenant and any permitted subtenants and assignees in such directory based on Tenants Proportionate Share. Any such directory shall be maintained by Landlord , at Landlords expense.
