By Company For Good Cause. Upon written notice to the Executive, the Company may immediately terminate this Agreement at any time during the Employment Period for “Good Cause” (as hereafter defined).

By Company Without Good Cause. Upon fifteen (15) days prior written notice to the Executive, the Company may terminate this Agreement at any time during the Employment Period without Good Cause.

By The Executive for Good Reason. Upon thirty (30) days prior written notice, the Executive may terminate this Agreement at any time during the Employment Period for “Good Reason” (as hereafter defined and subject to the notice and cure periods hereafter described).

Subject to the provisions of this Agreement, either the Company or the Employer, on the one hand, or Executive, on the other hand, may terminate the employment of Executive after receipt of written notice by the other party hereto provided that any applicable cure periods have expired if the Company or the Employer terminate the employment of Executive for Cause or Executive terminates Executive’s employment with Good Reason.

By the Company. The Company may terminate the Executive’s employment during the Employment Period for Cause, or without Cause. For purposes of this Agreement, “Cause” shall mean:
