Termination for Reasons Other Than Cause, Death or Disability. If the Participant’s Continuous Service is terminated for any reason other than Cause, death or Disability, the Participant may exercise the vested portion of the Option, but only within such period of time ending on the earlier of # the date that is three months following the termination of the Participant’s Continuous Service or # the Expiration Date.

Termination of Continuous Service for Reasonsa Reason Other Than Cause,Retirement, Disability, Death or Disability.Removal for Cause. If the Participant’Optionee’s Continuous Service is terminated for any reason other than Cause,retirement, Disability, death or Disability,termination for Cause, the ParticipantOptionee may exercise the vested portion of the Option, but only within such period of time ending on the earlier of # the date that is three months following the termination of the Participant’Optionee’s Continuous Service or # the Expiration Date.

If the Participant’s Continuous Service is terminated for any reason other than Cause, death orterminates as a result of the Participant’s Disability, the Participant may exercise the vested portion of the Option, but only within such period of time ending on the earlier of # the date that is three12 months following the Participant’s termination of the Participant’s Continuous Service or # the Expiration Date.

If the Participant’s Continuous Service is terminated for any reason other than Cause, deathterminates as a result of the Participant’s death, or Disability, the Participant may exercisedies within a period following termination of the Participant’s Continuous Service during which the vested portion of the Option,Option remains exercisable, the vested portion of the Option may be exercised by the Participant’s estate, by a person who acquired the right to exercise the Option by bequest or inheritance or by the person designated to exercise the Option upon the Participant’s death, but only within suchthe time period of time ending on the earlier of # the date that is three12 months following the termination of the Participant’s Continuous Servicedeath or # the Expiration Date.

Termination for Reasons Other Than Cause,other than Upon Disability or Death or Disability. Iffor Cause. In the event of termination of a Participant’s Continuous Service is terminated(other than as a result of Participant’s death, disability or termination for any reason other than Cause, death or Disability,Cause), the Participant mayshall have the right to exercise an Option at any time within 90 days following such termination to the vested portion ofextent the Option, but only withinParticipant was entitled to exercise such period of time ending on the earlier of #Option at the date that is three months following the termination of the Participant’s Continuous Service or # the Expiration Date.such termination.

Termination for Reasons Other Than Cause, Death or Disability. Ifthan For Cause. Except as otherwise determined by the Participant’s Continuous Service is terminated for any reason other than Cause, death or Disability,Committee in its sole discretion and set forth in the Participant may exercise the vested portion of the Option, but only within such period of time ending on the earlier of # the date that is three months following therelevant grant agreement, upon termination of the Participant’s Continuous Service for any reason other than for Cause (as defined in [Section 7(c)]), Disability or #death, such Participant’s Options (to the Expiration Date.extent vested before such termination) may be exercised by such Participant during the ninety-day period commencing on the date of termination, but not later than the expiration of the term of the Options. If a Participant dies during such ninety-day period, his or her estate may exercise the Options (to the extent such Options were vested and exercisable before death), but not later than the earlier of one year after the date of death or the expiration of the term of the Options.

If the Participant’Optionee’s Continuous Service is terminated for any reason other than Cause, death orterminates as a result of the Optionee’s Disability, the ParticipantOptionee may exercise the vested portion of the Option, but only within such period of time ending on the earlier of # the date that is three monthsone year following the Optionee’s termination of the Participant’s Continuous Service or # the Expiration Date.

If the Participant’Optionee’s Continuous Service is terminated for any reason other than Cause, death or Disability,terminates as a result of the ParticipantOptionee’s retirement, the Optionee may exercise the vested portion of the Option, but only within such period of time ending on the earlier of # the date that is three monthsone year following the Optionee’s termination of the Participant’s Continuous Service or # the Expiration Date.

Termination for Reasons Other Than Cause,other than Upon Disability or Death or Disability. Iffor Cause. In the Participant’event of termination of Optionee’s Continuous Service is terminated for any reasonStatus other than Cause, death or Disability,under the Participantcircumstances set forth in [subsections (ii) through (iv)] below, such Optionee may exercise the vested portion of the Option, but only within such period of time ending onan Option until the earlier of # three (3) months following such termination or # the expiration of the term of such Option, to the extent the Optionee was vested in the Optioned Stock as of the date of such termination; provided, however, that is three monthsthe Administrator may in the Option Agreement specify an alternative period of time (but not beyond the expiration date of the Option) following the termination of the Participant’Optionee’s Continuous Service Status during which Optionee may exercise the Option as to Shares that were vested and exercisable as of the date of termination of Optionee’s Continuous Service Status. No termination shall be deemed to occur and this [Section 9(b)(i)] shall not apply if # the Optionee is a Consultant who becomes an Employee, or # the Expiration Date.Optionee is an Employee who becomes a Consultant.
