Other Business. No Borrower will: # engage in any business other than the transactions contemplated by the Transaction Documents and the Monetization Documents, # create, incur or permit to exist any Debt of any kind (or cause or permit to be issued for its account any letters of credit or bankers’ acceptances) other than pursuant to this Agreement, the Monetization Document or the Company Notes or, with respect to the U.S. Borrower, pursuant to the Monetization Documents, or # form any Subsidiary or make any investments in any other Person; provided, however, that each Borrower shall be permitted to incur obligations to the extent necessary for the day-to-day operations of such Borrower (such as expenses for stationery, audits, maintenance of legal status, etc.).

No Borrower shall engage in any business or activity, or incur any indebtedness or liability (including, without limitation, any assumption or guaranty of any obligation of CB, any Originator, the any or any Affiliate thereof), other than as expressly permitted by the Transaction Documents or, with respect to the U.S. Borrower, the Monetization Documents;

Other Business. The Borrower will not # engage in any business other than # entering into and performing its obligations under the Transaction Documents and other activities contemplated by the Transaction Documents, # the acquisition, ownership and management of the Collateral, # the sale of the Collateral as permitted hereunder, # as otherwise provided in [Section 4.1(u)(i) and (ii), and (E)])])] other business incidental to such activities, # incur any Indebtedness, obligation, liability or contingent obligation of any kind other than pursuant to the Transaction Documents and the Underlying Instruments, or # except as otherwise provided in [Section 4.1(u)(v)], form any Subsidiary or make any Investment in any other Person.
