Business Expenses. The Company shall pay or reimburse the Executive for all reasonable, customary and necessary business expenses incurred or paid by the Executive in the performance of her duties and responsibilities hereunder, subject to any maximum annual limit and other restrictions on such expenses as set forth in the Company’s expense reimbursement policies as may be in effect from time to time, and to such reasonable substantiation and documentation as may be specified by the Company from time to time. The Executive’s right to payment or reimbursement hereunder shall be subject to the following additional rules: # the amount of expenses eligible for payment or reimbursement during any calendar year shall not affect the expenses eligible for payment or reimbursement in any other calendar year, # payment or reimbursement shall be made not later than December 31 of the calendar year following the calendar year in which the expense or payment was incurred, and # the right to payment or reimbursement is not subject to liquidation or exchange for any other benefit.

For the avoidance of doubt, to the extent that any reimbursements payable to the Executive are subject to the provisions of Section 409A of the Code: # any such reimbursements will be paid no later than December 31 of the year following the year in which the expense was incurred, # the amount of expenses reimbursed in one year will not affect the amount eligible for reimbursement in any subsequent year, and # the right to reimbursement under this Agreement will not be subject to liquidation or exchange for another benefit.

Business Expenses. Executive will be reimbursed for all reasonable, out-of-pocket business expenses incurred in the performance of Executive’s duties on behalf of the Company. To obtain reimbursement, expenses must be submitted promptly with appropriate supporting documentation and will be reimbursed in accordance with the Company’s policies. Any reimbursement Executive is entitled to receive shall # be paid no later than the last day of Executive’s tax year following the tax year in which the expense was incurred; provided, however, that it is the Company’s normal business practice to provide reimbursement at the next regular payroll date after the expense has been submitted and approved for reimbursement, # not be affected by any other expenses that are eligible for reimbursement in any tax year and # not be subject to liquidation or exchange for another benefit.

Employee’s right to payment or reimbursement for business expenses hereunder shall be subject to the following additional rules: # the amount of expenses eligible for payment or reimbursement during any calendar year shall not affect the expenses eligible for payment or reimbursement in any other calendar year, # payment or reimbursement shall be made not later than December 31 of the calendar year following the calendar year in which the expense or payment was incurred, and # the right to payment or reimbursement is not subject to liquidation or exchange for any other benefit.
Business Expenses. During the Term, Executive shall be reimbursed for all reasonable and necessary business expenses incurred by him in connection with his employment, including, without limitation, expenses for travel and entertainment incurred in conducting or promoting business for the Company upon timely submission by Executive of receipts and other documentation as required by the Internal Revenue Code of 1986, as amended (the “Code”), and in accordance with the Company’s normal expense reimbursement policies. With respect to Executive’s rights under this Section 7, # the amount reimbursable in any one calendar year shall not affect the amount reimbursable in any other calendar year, # the reimbursement of an eligible business expense must be made no later than December 31 of the year after the year in which the business expense was incurred, and # such rights shall not be subject to liquidation or exchange for another benefit.
Reimbursement of Expenses. Executive shall be entitled to payment or reimbursement of all reasonable, ordinary, and necessary business expenses incurred by Executive in the performance of his responsibilities and the promotion of the Company’s business, provided that those expenses are consistent with the Company policy and limits. Executive shall submit to the Company periodic statements of all expenses so incurred. Subject to such reviews as the Company may deem necessary, the Company shall reimburse Executive the full amount of any such expenses advanced by him in the ordinary course of business.
