Supply Continuity. At any given time, Siemens shall not terminate production of any MRI system that it is supplying to [[ViewRay Parent:Organization]] at such time until the applicable Next Generation MRI System that will replace such existing MRI system has been fully developed and integrated into [[ViewRay Parent:Organization]]’s then-current MR Linac product, provided that [[ViewRay Parent:Organization]] performs the required development and integration work within a reasonable timeframe. The Avanto Supply Limit, Avanto Dot Supply Limit and Avanto Dot Upgrade Supply Limit (each as defined in Amendment 8 to the MRI Agreement), as agreed in Amendment 8 and Amendment 9 to the MRI Agreement, shall remain unchanged and unaffected by this clause.

Business Continuity Plan. The Providing Party shall maintain a business continuity plan adequate for the provision of the Services and shall provide a copy of such plan upon the Customer Party’s request.

Business Continuity and Disaster Recovery Plan. Servicer shall, at its own expense, design, implement, and maintain a business continuity and disaster recovery program and viable response and recovery capabilities for the services provided hereunder. As part of its periodic assessment of availability risks, Servicer shall consider the need for geographic diversification of document storage, software/data backup storage, and workplace and systems recovery, as described in the Federal Financial Institutions Examination Council’s Business Continuity Planning IT Examination Handbook. At a minimum, Servicer’s core processing facilities and operations will include full weekly backup and daily incremental backup to ensure minimal exposure to systems failure. Servicer will make commercially reasonable efforts to ensure the continuity of operations. Upon request of Administrative Agent, Servicer shall provide a copy of its business continuity and disaster recovery program summary. Servicer shall regularly, but no less than annually, test its business continuity and disaster recovery capabilities. Servicer shall update its plans in a timely manner. In the event of a natural or other disaster beyond Servicer’s control that interrupts Servicer’s performance of any services described hereunder for any period, Servicer shall respond to such disaster in a commercially reasonable time period in accordance with the procedures contained in the business continuity and disaster recovery plans in order to resume performance of such services.

Disaster Recovery and Business Continuity. With respect to its disaster recovery and business continuity program(s) (the “DR/BCP”), RUS hereby represents and warrants to AssetMark that:

The [[CSG:Organization]] Business Continuity/Disaster Recovery Plan set forth in Attachment A to Exhibit C-11] of the Agreement is hereby amended to add the Ascendon Services to the list of ​ * services.

Business Continuity. None of the Software, computer hardware (whether general or special purpose), telecommunications capabilities (including all voice, data and video networks) and other similar or related items of automated, computerized, and/or software systems and any other networks or systems and related services that are used by or relied on by the Company Group in the conduct of their businesses (collectively, the “Systems”) have experienced bugs, failures, breakdowns, or continued substandard performance in the past twelve (12) months that has caused or reasonably could be expected to cause any substantial disruption or interruption in or to the use of any such Systems by the Company Group.

Business Continuity. Provider will develop, maintain and regularly test a business continuity plan (a “BCP Plan”) that is designed to provide reasonable assurances regarding the continued operation of the Services to BFA Recipients in the event of a business interruption.

Continuity Agreement. Subject to the approval of the Company’s Board of Directors, you will be eligible to enter into a continuity agreement (the “Continuity Agreement”) with the Company, which shall remain in effect for as long as you remain in your role as Chief Financial Officer. For the avoidance of doubt, in no event shall your Continuity Agreement be deemed a benefit plan. You hereby agree that any consideration payable to you, or obligation to provide benefits to you, pursuant to the Continuity Agreement shall be offset in full by any amounts payable or benefits provided to you pursuant to either: # this offer letter (including but not limited to the Severance Pay and COBRA Coverage referenced in [Section 9] below); # any other agreement between you and the Company providing for the same or similar type of benefits set forth in the Continuity Agreement; # any plan, program or arrangement of the Company providing the same or similar type of benefits set forth in the Continuity Agreement; or # any statute, regulation or local law in any applicable jurisdiction (collectively, the “Other Arrangements”). Any payment or benefit paid or provided to you pursuant to any Other Arrangement shall offset, and be counted against, any payment or benefit to be provided under the Continuity Agreement. Any payments or benefits paid under the Continuity Agreement shall supersede and negate any obligations under any Other Arrangement, which will be deemed to have been satisfied in full by the payments and/or benefits provided under the Continuity Agreement.

Business Continuity; Disaster Recovery. Medidata maintains a commercially reasonable business continuity and disaster recovery plan and will follow such plan.
