Chief Executive Officer, TANDY LEATHER FACTORY, INC.

Warehouse Fees. Payment of any Warehouse Fees and other costs and expenses due and payable to [[Organization B:Organization]] hereunder.

Warehouse Accounts. [[Organization B:Organization]] or the [[Organization B:Organization]]’s designee shall maintain for [[Organization C:Organization]] an inbound account and a margin account (the “Warehouse Accounts”). The Warehouse Accounts shall be in the form of non-interest bearing book-entry accounts. [[Organization B:Organization]] shall have exclusive withdrawal rights from the Warehouse Accounts. All amounts on deposit in the Warehouse Accounts shall be held as cash margin and collateral for all Obligations under this Agreement. Without limiting the generality of the foregoing, in the event that a Margin Call or other Default exists, [[Organization B:Organization]] shall be entitled to use any or all of the amounts on deposit in any Warehouse Account to cure such circumstance or otherwise exercise remedies available to [[Organization B:Organization]] without prior notice to, or consent from, [[Organization C:Organization]]. Notwithstanding the foregoing, [[Organization C:Organization]] acknowledges that # amounts in the Warehouse Accounts are not insured by the Federal Deposit Insurance Corporation, any governmental entity or otherwise and # [[Organization B:Organization]] is not required to segregate funds in the Warehouse Accounts from its own funds or from funds held for others.

OHL’s activities in operating and maintaining the Warehouse shall at all times be consistent with the terms of the lease(s), if applicable, for the Warehouse. OHL shall be the custodian of the Warehouse during the Term of this Agreement. As custodian, OHL agrees to take measures reasonably necessary to safeguard the Warehouse.

The Parties agree that OHL, for the convenience of CLIENT and OHL, may not issue warehouse receipts. This shall not be construed as a failure to comply with the receipt provision in Section 7 of the Uniform Commercial Code and OHL shall not suffer any liability for such failure. The Parties agree that the terms of this Agreement shall override any conflicting provisions of the Uniform Commercial Code in this regard. OHL agrees that # CLIENT may file informational financing statements with regard to inventory and # OHL shall keep CLIENT’s inventory and operations clearly segregated from the inventory and operations of other OHL clients.

Contractor to Conduct a Review of each Customer Satellite Prior to Shipment. Contractor shall conduct a detailed and comprehensive review of each Customer Satellite prior to Contractor’s shipment of the Customer Satellite to the Launch Site or its entering into storage as may be applicable. This review shall be conducted in accordance with the terms of this [Article 10.1.1] and the Statement of Work (a “Factory Acceptance Review” or “FAR”, also sometimes referred to as a “Pre-Shipment Review” or “PSR”).

#[[Organization B:Organization]] agrees to comply at all times with all of the provisions of the Warehouse Program Guide in effect from time to time. Notwithstanding anything herein to the contrary, each Participated Mortgage Loan: # shall be subject to the provisions of the Warehouse Program Guide in effect as of the Purchase Date for such Participated Mortgage Loan; and # shall not be subject to any material amendment, modification or supplement to the Warehouse Program Guide which occurs after the Purchase Date for such Participated Mortgage Loan. The Warehouse Program Guide is hereby incorporated into this Agreement by reference as if it was fully set forth herein.
