TheAll factual information set forth(taken as a whole) furnished by or on behalf of the Borrower or any of its Subsidiaries in writing to the Information Documents wasAdministrative Agent or any Lender in connection with this Agreement, other than the Financial Projections (as to which representations are made only as provided in [Section 5.07(b)]), is true and accurate in all Materialmaterial respects on the date as of which such information was statedis dated or certified; provided that with respectcertified and not incomplete by omitting to state any statements, estimates or projections with respectmaterial fact necessary to the future performancemake such information (taken as a whole) not misleading at such time in light of the Company andcircumstances under which such information was provided, except that any such future information consisting of financial projections prepared by the Borrower or any of its Subsidiaries included in the Information Documents, the Company representsis only that such statements, estimates or projections have been prepared inrepresented herein as being based on good faith based uponestimates and assumptions believed by such persons to be reasonable onat the datetime made, it being recognized by the Lenders that such projections as to future events are not to be viewed as facts and that actual results during the period or periods covered by any such statements, estimates or projections were prepared and furnished.
