Brokers. No Person is entitled to any brokerage, finder’s or other fee or commission in connection with the transactions contemplated by this Agreement based upon arrangements made by or on behalf of the Purchaser.
Brokers. Except as set forth in [Schedule 4.21], no broker, finder or investment banker is entitled to any brokerage, finder's or other fee or commission in connection with the transactions contemplated by this Agreement or any other Transaction Document based upon arrangements made by or on behalf of [[Organization A:Organization]].
Brokers. and hereby warrant to each other that they have had no dealings with any real estate broker or agent in connection with the negotiation of this Lease, excepting only the real estate brokers or agents specified in Section 12 of the Summary (the “Brokers”), and that they know of no other real estate broker or agent who is entitled to a commission in connection with this Lease. Each party agrees to indemnify and defend the other party against and hold the other party harmless from any and all claims, demands, losses, liabilities, lawsuits, judgments, costs and expenses (including without limitation reasonable attorneys’ fees) with respect to any leasing commission or equivalent compensation alleged to be owing on account of any dealings with any real estate broker or agent, other than the Brokers, occurring by, through, or under the indemnifying party. The terms of this Section 29.24 shall survive the expiration or earlier termination of the Lease Term. The Brokers (other than Newmark Knight Frank (Jennifer Essner), who shall be compensated by Cushman & Wakefield) shall be compensated by pursuant to the provisions of a separate agreement; upon written request by , will confirm that the Brokers have been compensated.
Brokers. Each Party agrees that there were no finders or brokers involved in bringing the Parties together or who were instrumental in the negotiation, execution or consummation of this Agreement. Each Party agrees to indemnify the other against any claim by any third Person for any commission, brokerage or finder’s fee arising from the transactions contemplated hereby based on any alleged agreement or understanding between the indemnifying party and such third Person, whether express or implied, from the actions of the indemnifying party.
Brokers. Sublandlord and Subtenant each represent to the other that they have not dealt with any real estate brokers, finders, agents or salesmen in connection with this transaction other than CBRE, representing Sublandlord, and [[Unknown Identifier]] Advisors, representing Subtenant. Each party agrees to hold the other party harmless from and against all claims for brokerage commissions, finder's fees or other compensation made by any other agent, broker, salesman or finder as a consequence of said party's actions or dealings with such agent, broker, salesman, or finder.
Brokers. No broker or finder brought about the obtaining, making or closing of the Loans, and no Borrower or Guarantor or Affiliate thereof has any obligation to any Person in respect of any finder’s or brokerage fees in connection therewith.
Brokers. Landlord and Tenant each represents and warrants to the other that such party has negotiated this Amendment directly with Shorenstein Realty Services East, L.P., representing Landlord, and Tenant, representing itself (the Brokers) and has not authorized or employed, or acted by implication to authorize or to employ, any other real estate broker or salesperson to act for such party in connection with this Lease. Each party shall hold the other harmless from and indemnify and defend the other against any and all claims, liabilities, damages, costs and expenses, including reasonable attorneys fees and costs incurred in defending against the same by any real estate broker or salesperson other than the Brokers for a commission, finders fee or other compensation as a result of the inaccuracy of such partys representation above. No commission or other fee shall be payable to the Brokers in connection with the execution of this Amendment.
Brokers. Landlord and Tenant each represent and warrant to the other that, except for Colliers International, representing Landlord exclusively, and Newmark Cornish & Carey (collectively, the Broker), they have not made any agreement or taken any action which may cause anyone, other than Broker, to become entitled to a commission as a result of the transactions contemplated by this Sixth Amendment, and each will indemnify and defend the other from any and all claims, actual or threatened, for compensation by any such third person by reason of such partys breach of their representation or warranty contained in this Section 8. Landlord, at its sole cost and expense, will pay any commission which may be due Broker pursuant to its separate agreement with Broker.
Brokers. Tenant represents and warrants to Landlord that neither it nor its officers or agents nor anyone acting on its behalf has dealt with any real estate broker other than CBRE, Inc., which represented Landlord, and Cassidy Turley Commercial Real Estate Services, Inc. d/b/a DTZ, which represented Tenant, in the negotiating and making of this Amendment, and Tenant agrees to indemnify and hold Landlord, its agents, employees, partners, directors, shareholders and independent contractors harmless from all liabilities, costs, demands, judgments, settlements, claims, and losses, including reasonable attorneys fees and costs, incurred by Landlord in conjunction with any such claim or claims of any other broker or brokers claiming to have interested Tenant in the Building, the Original Premises or the Expansion Space or claiming to have caused Tenant to enter into this Amendment.
