Finders and Brokers. Each party represents to the other that it has not dealt with anyone who is or may be entitled to a broker’s commission, finder’s fee or other compensation for introducing the parties or for advising or assisting in connection with this Agreement or the transactions contemplated by it. Each party shall indemnify and hold the other harmless from any cost or expense, including attorneys’ fees and court costs, arising out of such a claim by such a person, including costs incurred in response to discovery and related proceedings in connection with such a claim.

Brokers. Each party representsParty agrees that there were no finders or brokers involved in bringing the Parties together or who were instrumental in the negotiation, execution or consummation of this Agreement. Each Party agrees to indemnify the other that it has not dealt with anyone who isagainst any claim by any third Person for any commission, brokerage or may be entitled to a broker’s commission, finder’s fee or other compensation for introducing the parties or for advising or assisting in connection with this Agreement orarising from the transactions contemplated by it. Eachhereby based on any alleged agreement or understanding between the indemnifying party shall indemnify and holdsuch third Person, whether express or implied, from the other harmless from any cost or expense, including attorneys’ fees and court costs, arising outactions of such a claim by such a person, including costs incurred in response to discovery and related proceedings in connection with such a claim.the indemnifying party.

Broker Commission. Each party represents to the otherand warrants that it has not dealt with anyone who isany broker or may be entitled to a broker’s commission, finder’s fee or other compensation for introducing the parties or for advising or assistingfinder in connection with its entering into this Agreement or the transactions contemplated by it. Each partyand shall indemnify and hold the other harmless from any cost or expense, including attorneys’ feesparties for all costs, damages and court costs, arisingexpenses (including reasonable attorneys’ fees) which may arise out of such a claim by such a person, including costs incurred in response to discoverybreach of the aforesaid representation and related proceedings in connection with such a claim.warranty.
