Brokers and Finders. No agent, broker, investment banker or other Person is or will be entitled to any broker’s or finder’s fee or any other commission or similar fee from the Purchaser or the Purchaser Affiliates in connection with the transactions contemplated by this Agreement and the other Transactional Agreements as a result of any arrangements entered into by the Seller or the Seller Affiliates, other than fees due to Goldman Sachs Bank Europe SE, Succursale Italia which will be paid by the Seller.

Section # Brokers. No agent, broker, finder, financial advisor, investment banker or other Person is or will be entitled to any broker’s, finder’s, financial advisor’s or finder’investment banker’s fee or any other commission or similar fee from the Purchaser or the Purchaser Affiliatespayment in connection with the transactions contemplated by this Agreement based upon arrangements made by and the other Transactional Agreements as a resulton behalf of Buyer or any arrangements entered into by theof its respective Affiliates for which Seller or the Seller Affiliates, other than fees due to Goldman Sachs Bank Europe SE, Succursale Italia which will be paid by the Seller.any Group Company may become liable.

2.17Brokers. Except for Barclays Capital Inc. and Finders. No agent,Goldman Sachs & Co. LLC, no broker, investment bankerbanker, financial advisor or other Person is or will be entitled to any broker’s, finder’s, financial advisor’s or finder’sother similar fee or any other commission or similar fee from the Purchaser or the Purchaser Affiliates in connection with the transactions contemplated by this Agreement and the other Transactional Agreements as a resultbased upon arrangements made by or on behalf of an Acquired Company or Sellers or any arrangements entered into by the Seller or the Seller Affiliates, other than fees due to Goldman Sachs Bank Europe SE, Succursale Italia which will be paid by the Seller.of their respective Affiliates.
