The Seller has not incurred any obligation or liability, contingent or otherwise, for brokerage or finders’ fees or agents’ commissions or other similar payment in connection with this Agreement, the other Transaction Documents or the transactions contemplated hereby or thereby for which the Buyer is or will become liable.

The SellerBuyer has not incurred anyno obligation or liability, contingent or otherwise, for brokeragebrokers’ or finders’ fees in respect of the matters provided for in this Agreement that will be the responsibility of Seller; and any such obligation or agents’ commissions or other similar payment in connection with this Agreement,liability that might exist shall be the other Transaction Documents or the transactions contemplated hereby or thereby for which the Buyer is or will become liable.sole obligation of Buyer.
