Fees. In accordance with [Section 10.04] of the Credit Agreement, payment by Borrower of the expenses of Administrative Agent in connection with this Amendment and the transactions contemplated hereby to the extent invoiced, including without limitation the reasonable fees and disbursements through the Effective Date of Administrative Agent’s special counsel, Haynes and Boone, LLP.

Fees. In accordanceSECTION # Payment of Fees and Expenses. The Company agrees to pay or reimburse the Administrative Agent for all reasonable and documented out-of-pocket expenses incurred by the Administrative Agent and its Affiliates in connection with the preparation, negotiation and execution of this Amendment, including, without limitation, the reasonable and invoiced fees, charges and disbursements of counsel, as set forth in [Section 10.04] of the Credit Agreement, payment by Borrower of the expenses of Administrative Agent in connection with this Amendment and the transactions contemplated hereby to the extent invoiced, including without limitation the reasonable fees and disbursements through the Effective Date of Administrative Agent’s special counsel, Haynes and Boone, LLP.Agreement.

The Company shall pay on demand all reasonable costs and expenses of the Credit Agreement, payment by Borrower of the expenses of Administrative Agent in connection with the preparation, negotiation, execution, and delivery of this Amendment and the transactions contemplated hereby to the extent invoiced, includingany other documents prepared in connection herewith, including, without limitationlimitation, the reasonable and documented fees and disbursements throughout-of-pocket expenses of counsel for the Effective DateAdministrative Agent, in each case, as set forth in [Section 10.04(a)] of Administrative Agent’s special counsel, Haynes and Boone, LLP.the Credit Agreement.

Fees. In accordance with [SectionAll fees and expenses required to be paid to the Administrative Agent pursuant to Section 10.04]5 of the Credit Agreement, payment by Borrower of the expenses of Administrative Agent in connection withAgreement relating to this Amendment and(in the transactions contemplated herebycase of legal expenses, to the extent invoiced, including without limitationinvoiced at least three (3) Business Days prior to the Second Amendment Effective Date) shall have in each case been paid; provided that any fees, charges and disbursements of outside counsel shall be limited to the reasonable feesand documented out-of-pocket fees, charges and disbursements throughof one (1) primary counsel for the Effective Date of Administrative Agent’s special counsel, HaynesAgent and Boone, LLP.​, taken as a whole.
