Each party shall hold the other harmless from and indemnify and defend the other against any and all claims, liabilities, damages, costs and expenses, includingtherewith, including, without limitation, reasonable attorneys’ fees and costs incurredexpenses, arising out of any conversations or negotiations had by Tenant with any broker (excluding the Broker) with respect to this Amendment or the transactions contemplated hereby. Landlord agrees to indemnify and hold harmless Tenant against and from any claims for any brokerage commissions and all costs, expenses and liabilities in defending againstconnection therewith, including, without limitation, reasonable attorneys’ fees and expenses, arising out of conversations or negotiations had by Landlord with any broker (including the same by any real estate brokerBroker) with respect to this Amendment or salesperson other than the Brokers fortransaction contemplated hereby. Landlord shall pay a commission, finder’s fee or other compensation as a result of the inaccuracy of such party’s representation above. No commission or other fee shall be payable to the BrokersTenant and Landlord’s RE Broker in connectionaccordance with a separate agreement or agreements between Landlord and Tenant and Landlord’s Broker, as the execution of this Amendment.case may be.
