Section # Brokerage. Each of the parties hereto represents that it has had no dealings in connection with this transaction with any finder or broker who will demand payment of any fee or commission from the other party. [[Organization B:Organization]] on the one hand, and [[Organization A:Organization]], on the other hand, agree to indemnify the other against and hold the other harmless from any and all liabilities to any person claiming brokerage commissions or finder’s fees on account of services purported to have been rendered on behalf of the indemnifying party in connection with this Agreement or the transactions contemplated hereby.

Section # Brokerage. Each of [[Organization A:Organization]] and [[Organization B:Organization]] hereby represent and warrant to the parties hereto representsother that it has had no dealings in connection with this transactionnot # dealt with any agent, finder or broker who will demand payment of any fee or commission from the other party. [[Organization B:Organization]] on the one hand, and [[Organization A:Organization]], on the other hand, agree to indemnify the other against and hold the other harmless from any and all liabilities to any person claiming brokerage commissions or finder’s fees on account of services purported to have been rendered on behalf of the indemnifying party in connection with this Agreement other than Equity Transfers, LLC (“Broker”) or # made any agreement to pay any agent, finder, broker or any other Person any fee or commission in the transactions contemplated hereby.nature of a broker’s fee arising out of or in connection with this Agreement other than [[Organization A:Organization]]’s agreement to pay the Broker a commission pursuant to separate agreement. [[Organization B:Organization]] hereby agrees that, in the event any claim is made for any fees or commissions by any broker, agent, finder or any other Person other than the Broker in connection with this Agreement and arising by, through or on account of any act of [[Organization B:Organization]] or any of its Representatives, [[Organization B:Organization]] shall indemnify and hold harmless [[Organization A:Organization]] from and against any and all claims, liabilities, costs and expenses (including, without limitation, reasonable attorney’s fees and disbursements) in connection therewith. [[Organization A:Organization]] hereby agrees that, in the event that any claim is made for any fees or commissions by any broker, agent, finder or any other Person in connection with this Agreement and arising by, through or on account of any act of [[Organization A:Organization]] or [[Organization A:Organization]]’s representatives, [[Organization A:Organization]] shall indemnify and hold harmless [[Organization B:Organization]] from and against any and all claims, liabilities, costs and expenses (including, without limitation, reasonable attorney’s fees and disbursements) in connection therewith. The foregoing indemnities shall survive the Closing or termination of this Agreement, as applicable.

Section # Brokerage.Finders and Brokers. Each ofparty represents to the parties hereto representsother that it has had no dealings in connectionnot dealt with this transaction with any finderanyone who is or broker who will demand payment of anymay be entitled to a broker’s commission, finder’s fee or commission fromother compensation for introducing the other party. [[Organization B:Organization]] on the one hand, and [[Organization A:Organization]], on the other hand, agree to indemnify the other against and hold the other harmless from any and all liabilities to any person claiming brokerage commissionsparties or finder’s fees on account of services purported to have been rendered on behalf of the indemnifying partyfor advising or assisting in connection with this Agreement or the transactions contemplated hereby.by it. Each party shall indemnify and hold the other harmless from any cost or expense, including attorneys’ fees and court costs, arising out of such a claim by such a person, including costs incurred in response to discovery and related proceedings in connection with such a claim.
